The call

1&1 owns real network assets protected by regulation, but its margins bend to Vodafone's roaming prices while its own buildout races to catch up.

1&1 AG is a phone and internet company in Germany that recently built its own 5G network and fiber cables instead of renting them from bigger rivals like Vodafone. Building a real network is hard to copy, but 1&1 is still the smallest of four licensed carriers, its profits are shrinking, and it relies on Vodafone to carry some of its customer traffic right now (which costs too much). The one thing that matters most is whether 1&1 can move its customers off Vodafone's expensive service onto its own cheap network fast enough to make money again, but it does not fully control that outcome because Vodafone also owns the towers 1&1 needs to reach customers.

Why
01
AI pressure: None apparent. AI chatbots and network-optimization tools shift how telecoms sell and run networks, but no AI product replaces spectrum or fiber. Could AI do the core job? Unlikely.
02
Bigger players: Vodafone Germany. Vodafone sets wholesale roaming prices above 1&1's expectations and controls Vantage Towers, the sites 1&1 needs for its own network buildout. Could a giant copy it? Probably.
03
What protects it. Licensed spectrum, a fully migrated Open RAN network, and 67,000km of Versatel fiber that only three other German firms can match.
What would change this call
1&1 Q3 2026 earnings (mid-Nov 2026) show EBITDA still declining YoY. Vodafone roaming costs and Versatel drag are not clearing as promised.
1&1 network buildout misses 35% household coverage target by end-2026. Tower-access friction with Vantage Towers is slowing the own-network migration.
United Internet announces a squeeze-out or delisting of 1&1 minority shares. Parent moves to fully absorb 1&1, signaling low confidence in standalone recovery.
Key numbers

Named risks
  • Dependence on Vodafone wholesale roaming with pricing above expectations pressuring 2025-2026 margins. Severity: high
  • Own network buildout tied to tower access; 2024 outage partly blamed on Vodafone's Vantage Towers. Severity: medium
  • Versatel integration expected to weigh on free cash flow by roughly €100 million combined 2026-2027. Severity: medium
  • Flat customer base near 16.32 million with FY2025 EBITDA down 9% and EPS down 22.3%. Severity: high
  • United Internet's 2025 partial tender offer signals possible further minority squeeze-out. Severity: medium

Questions people ask
Is 1&1 AG profitable in 2026?
Yes on a net basis: Q1 2026 net profit was €17.8 million, up 60.4% year over year, reported 2026-05-12. But service revenue fell 1.2% in the same quarter and FY2025 EBITDA dropped 9.0% to €537.5 million, showing margin pressure alongside the profit.
Who owns 1&1 AG?
United Internet AG is the majority owner, holding 86.46 to 86.5% of 1&1 AG as of May 2026, after a June 2025 partial tender offer at €18.50 per share raised its stake from about 80.81%. Founder Ralph Dommermuth indirectly controls United Internet.
Is 1&1 AG's mobile network as good as Deutsche Telekom or Vodafone?
No. In the 2026 connect magazine network test, 1&1 ranked last among Germany's four facilities-based mobile operators, though it earned a 'very good' to 'excellent' rating for a debut. Deutsche Telekom has held the top network score for 15 consecutive years as of November 2025.
Could AI replace 1&1 AG's business?
AI could automate 1&1's customer service, billing, and tariff-selection chat functions, similar to industry-wide trends in 2026, but it cannot replicate 1&1's licensed spectrum, physical 5G Open RAN network, or the 67,000km fiber backbone it gained from acquiring Versatel in November 2025.
Is Vodafone 1&1 AG's biggest competitor risk?
Yes in a specific way: 1&1 depends on Vodafone for national roaming wholesale access under an August 2024 agreement, and by November 2025 that roaming pricing came in above expectations and pressured 1&1's margins, even as Vodafone also competes directly for mobile customers.
Is it risky to join 1&1 AG right now?
FY2025 EBITDA fell 9.0% to €537.5 million and EPS dropped 22.3% to €0.94, with the customer base roughly flat near 16.32 million contracts at year end 2025. Headcount jumped 42.6% to 4,678 employees in December 2025, but mainly due to Versatel consolidation, not organic hiring.
