The call

BDO's licensing requirement keeps clients locked in even as UK regulators, ASIC, and an ESOP lawsuit pile up questions about audit quality.

BDO audits company books and financial statements for regulated firms across 169 countries; regulators sign off on the licenses that let them do this work. The Big Four accounting firms are too expensive to compete for BDO's mid-sized clients, but Grant Thornton and other private-equity-backed rivals are growing faster and winning market share by buying up smaller audit shops. The real threat is BDO's own track record: UK regulators rated it 'unacceptable' for five straight years, the U.S. regulator found major flaws in 60 percent of its audits, and a high-profile bankruptcy audit went wrong. If regulators issue one more failing grade or BDO loses a major legal case, clients may flee to competitors who look safer.

Why
01
AI pressure: None apparent. AI tools speed up audit fieldwork but statutory sign-off still needs a licensed human, so AI helps margins more than it kills the business. Could AI do the core job? Unlikely.
02
Bigger players: Grant Thornton. PE-backed Grant Thornton is buying up member firms across the US, UK, Germany and Ireland faster than BDO can merge its own network. Could a giant copy it? No, they are blocked.
03
What protects it. Only licensed, human-signed statutory audits satisfy PCAOB, FRC and ASIC rules, so clients can't just switch to software or unlicensed rivals.
What would change this call
FRC issues its 2026/27 UK audit quality rating for BDO. A sixth straight 'unacceptable' rating would show regulatory strain is not being fixed.
Outcome of ASIC's civil case against BDO Audit WA. A lost case would confirm audit-quality failures extend beyond the UK.
Resolution or settlement of the BDO USA ESOP ERISA class action. A payout or unfavorable ruling would reveal valuation practices harmed employee-owners.

Questions people ask
Is BDO International profitable in 2026?
BDO does not disclose profit publicly, but its global network reported US$11 billion in revenue for FY2025 (ended 30 Sept 2025), up 4% year-on-year, with an 8% five-year revenue CAGR, per its own December 2025 results announcement.
Could AI replace BDO's auditors?
No. Statutory audit opinions legally require a licensed human signature under PCAOB, FRC and ASIC rules, so AI tools like Chat BDO (launched August 2023) and the March 2026 Fieldguide partnership augment audit work rather than replace the regulated audit franchise.
Who owns BDO International?
BDO is not a single company but a network of legally independent, locally owned member firms unified under BDO International Limited (UK) and coordinated by BDO Global Coordination B.V. in Belgium. In October 2025 BDO formally reaffirmed it will stay independent of outside private equity.
Who is BDO's biggest competitor?
Among mid-tier accounting networks, Grant Thornton is BDO's closest rival, having taken PE backing from New Mountain Capital and completed a roughly $480 million US-Ireland merger in January 2025; RSM International and Crowe Global are also growing faster than BDO's 4% FY2025 rate.
What happened with BDO and First Brands?
BDO audited First Brands and issued an unqualified opinion shortly before the company went bankrupt in 2025, drawing scrutiny over undetected liabilities; BDO also threatened defamation action against the accounting blog Going Concern over its coverage of the collapse.
Is BDO under regulatory investigation in 2026?
Yes. Australia's ASIC commenced civil penalty proceedings on 22 December 2025 against BDO Audit (WA) and its director alleging materially false or misleading audit reports for FY2020-22, alongside separate UK FRC sanctions in November 2025 and May 2026.
