BharatPe
Indian fintech running merchant QR payments and lending through its own NBFC and bank stake.
BharatPe has narrowed losses and turned EBITDA positive, but its clearest edge, the Unity SFB stake, is being unwound by regulators just as bigger rivals push into merchant lending.
BharatPe lends money to small shop owners and traders in India, using smartphone data and transaction history instead of traditional bank paperwork. The company is hard to copy because it has a banking license and a large stake in a small bank, plus it knows what each merchant actually sells. However, PhonePe and Paytm are much bigger, backed by more money, and can do the same lending from their existing customer base. Worse, India's central bank is forcing BharatPe to sell most of its bank stake by 2029, which removes its biggest advantage just when it matters most. The crucial question is whether BharatPe can prove it is actually making real profit in the next year, and how fast PhonePe moves into merchant lending with its much larger reach.
FY26 results show statutory (Ind-AS) profit, not just adjusted PBT. Would confirm real profitability rather than accounting adjustments, needed for IPO credibility.
DRHP filing appears (or fails to appear) by FY27-FY28 as targeted. Tests whether BharatPe's IPO timeline and business readiness match management's stated plan.
- FY25 revenue ₹1,667 crore, up 16.9% YoY
- FY25 statutory net loss ₹88 crore
- Unity SFB stake must drop from 49% to 10% by 2028-29
- RBI-mandated Unity SFB stake reduction from 49% to 10% by 2028-2029 erodes key banking-license differentiator.
- Statutory financials still show net loss (₹88 crore FY25) despite company's adjusted-profit claims.
- All three co-founders exited operations by April 2026, raising governance and continuity questions pre-IPO.
- Stale 2021 valuation mark (~$2.85B) with no confirmed new equity round since, unclear if IPO price band will match.
- Better-funded incumbents PhonePe and Paytm can replicate merchant-lending model without structural barriers.
