The call

Cengage still makes real money from campus contracts, but a rough quarter and a pending IPO leave little room for error.

Cengage makes digital textbooks, homework platforms, and tutoring tools that colleges buy for their students. The company has real contracts with schools that are hard to switch away from, but that advantage is eroding quickly: free AI chatbots like ChatGPT now do homework help for nothing, cheap open-source textbooks are replacing paid ones, and colleges are starting to shop around. The big question is whether Cengage can hold onto its college customers when they renew their contracts over the next year or two, because if those deals shrink or disappear, the company's profits could fall much further.

Why
01
AI pressure: ChatGPT, Claude, Gemini. Free chatbots answer homework and tutoring questions that students used to need Cengage tools for. Could AI do the core job? Only partly.
02
Bigger players: None apparent. No major tech giant has launched a rival campus courseware platform, but low-cost AI-native entrants are flagged as a risk. Could a giant copy it? Probably.
03
What protects it. Multi-year campus contracts and accreditation-linked tools make schools slow to switch providers.
What would change this call
Cengage's Q1 FY2027 earnings (around Aug/Sept 2026) show revenue and EBITDA trend versus Q1 FY2026's 8% and 61% drops. Reveals whether the FY2026 decline was a one-off dip or a structural slide in the core business.
Whether Cengage completes its planned IPO in H1 2026 or delays/shelves it. Shows if public markets value the company's growth story or see it as too risky under current pressure.
A major university system publicly switches inclusive-access courseware to an AI-native or free alternative. Would confirm real institutional customer loss rather than just pricing or margin pressure.
Key numbers
  • FY2025 revenue ~$1.54B, EBITDA $530M (2025-03-31)
  • Q1 FY2026 revenue -8%, EBITDA -61% (2026-06-25)

  • Q1 FY2026 pattern of steep EBITDA swings (-61% YoY) could recur in future quarters. Severity: medium
  • Planned ~$500M IPO could slip further or be abandoned as of mid-2026, still trading OTC. Severity: medium
  • Headcount decline (-9.8% since 2023) and office closures signal ongoing cost-cutting over growth investment. Severity: medium
  • PE ownership (Apax, KKR, Searchlight, Apollo) may prioritize exit and cost discipline over long-term product investment. Severity: medium

Who is Cengage Learning's biggest competitor?
