The call

D2L's contracts keep current customers paying while Canvas and free bundled tools fight over who gets the next one.

D2L sells software that schools use to manage classes, assignments, and grades online. It is hard for schools to switch because they have multi-year contracts, their student data is locked in, and everything connects to other school systems, but that does not help D2L win new customers. Canvas (made by Instructure) is bigger and still growing, and free tools like Microsoft Teams and Google Classroom are pushing schools away from D2L, especially in K-12. The real test comes in 2026 and 2027 when about one-third of D2L's U.S. K-12 customers renew their contracts: if many of them leave for free alternatives, D2L's growth could be in trouble even if the company stays profitable.

Why
01
AI pressure: Google Classroom and Microsoft Teams for Education bundled AI features. Free bundled tools with AI add-ons make schools ask why they pay for Brightspace at all, especially in K-12. Could AI do the core job? Only partly.
02
Bigger players: Instructure (Canvas). Canvas is winning new logos and some renewals against D2L in higher ed, pushing D2L into the number four spot. Could a giant copy it? Yes, easily.
03
What protects it. Multi-year contracts, deep SIS integrations, and compliance certifications make ripping out Brightspace mid-cycle painful for schools.
What would change this call
D2L Q2 FY2027 earnings (~Sep 2026) show K-12 renewal churn or net retention trend. Reveals whether roughly one-third of US K-12 base up for renewal is being retained or lost to rivals.
Adjusted EBITDA in coming quarters stays below prior-year $9.3M level. Would show margin pressure persisting beyond the Q1 FY2027 dip.
Analyst target cuts from Stifel or RBC extend further, or new downgrades appear. Would indicate market confidence in D2L's growth story is eroding further.

Questions people ask
Is D2L profitable in 2026?
D2L is cash generative but EBITDA is uneven. FY2026 (ended Jan 31, 2026) revenue hit $217.5M, up 6% YoY, and free cash flow rose 63%, but Q1 FY2027 adjusted EBITDA fell to $8.3M from $9.3M a year earlier, per the June 9, 2026 earnings release.
Could AI replace D2L's Brightspace platform?
Unlikely soon. D2L is building generative AI (Lumi, Lumi Pro) directly into Brightspace, deployed at Vanderbilt by April 2026, but its moat rests on SIS integrations, multi-year contracts, and accessibility compliance that standalone AI tools do not replicate.
Who owns D2L?
D2L Inc is publicly traded on the TSX under DTOL. Founder and CEO John Baker retained about 91.6% of voting power via Multiple Voting Shares at IPO on November 3, 2021, giving him effective control despite being a minority economic owner today.
Is D2L losing to Canvas in the LMS market?
Yes, in higher ed. Instructure claims (as of June 10, 2026, citing Edutechnica Spring 2025 data) that Canvas alone holds more US higher-ed market share than Blackboard, Moodle, and D2L combined, though this figure is relayed by a rival vendor.
What is D2L's biggest competitor?
Instructure's Canvas is the named incumbent threat in higher ed, while Google Classroom and Microsoft Teams for Education pressure D2L in K-12 through free bundled tiers. D2L flagged roughly one-third of its US K-12 base as up for renewal in fiscal 2027.
Is D2L growing or shrinking?
Growing but decelerating. Q1 FY2027 (ended April 30, 2026) revenue was $57.1M, up 8% YoY, and ARR reached $225.2M, up 9% YoY, per D2L's June 9, 2026 results, though adjusted EBITDA declined year over year in the same quarter.
