The call

Forest Essentials stays profitable and distinct for now, but its future runs through Estee Lauder's balance sheet and integration choices, not its own.

Forest Essentials makes high-end skincare products based on Ayurvedic traditions, sells through its own stores and luxury hotels across India, and has built real profits (22% of revenue becomes actual earnings). It is hard to copy because it has a real heritage story, doctor recommendations in hospitals, and two decades of relationships that a global beauty company like Estée Lauder could not build quickly, which is exactly why Estée Lauder bought the whole company instead of trying to compete. The big change coming is that Estée Lauder now owns it (closing in late 2026), and if the parent company needs to cut costs or change how the brand works to fix its own debt problems, the special thing about Forest Essentials that made it valuable could disappear.

Why
01
AI pressure: Perfect Corp and Tangent AI-style skin-analysis apps. AI skin-scan tools push D2C personalization faster than Forest Essentials' in-store, human-consultation model can match online. Could AI do the core job? Unlikely.
02
Bigger players: Estee Lauder Companies. ELC is buying Forest Essentials outright, deal closing H2 2026, turning independence into subsidiary status under a ~5x leveraged parent. Could a giant copy it? No, they are blocked.
03
What protects it. Two decades of hotel and spa distribution, small-batch Uttarakhand manufacturing, and doctor-led in-store consultations ELC chose to buy rather than copy.
What would change this call
Whether the Estee Lauder acquisition closes as planned in H2 2026. Confirms the deal proceeds and shifts Forest Essentials into ELC's portfolio.
Whether founders Kulkarni and Bedi remain in leadership 12-18 months post-close. Shows whether ELC preserves the founder-led autonomy seen as key to the brand's moat.
Whether store count grows faster than 30% YoY after the acquisition closes. Would signal ELC pushing growth over the brand's prior anti-growth, scarcity-based positioning.
Key numbers
  • FY2025 revenue about Rs 580 crore (2025-03-31)
  • FY2025 net margin about 22% (2025-03-31)
  • Rival Honasa Consumer revenue about Rs 1,900 crore, 4x larger (2026-03-12)
Named risks
  • ELC's ~5x net debt/EBITDA leverage could pressure post-close integration decisions. Severity: high
  • Founder Kulkarni or Bedi exiting within 12-18 months of close would remove key leadership continuity. Severity: medium
  • Regulatory approval delays in India for full foreign acquisition of the deal announced 2026-03-04. Severity: medium
  • AI-driven DTC skin-analysis tools commoditizing personalization funnels industry-wide by 2026. Severity: low
  • Nationalist or swadeshi backlash to full foreign ownership of a heritage Indian brand. Severity: low

Questions people ask
Is Forest Essentials profitable?
Yes. Forest Essentials reported FY2025 (year ended March 31, 2025) revenue of roughly Rs 580-585 crore with net profit around Rs 130 crore, implying a net margin near 22%, according to reporting published in March 2026.
Who owns Forest Essentials now?
Estee Lauder Companies. ELC first took a minority stake in 2008, raised it to 49% in 2020, and on March 4, 2026 announced a deal to acquire the remaining roughly 51% for full ownership, with closing expected in H2 2026.
Will founder Mira Kulkarni still run Forest Essentials after the Estee Lauder deal?
Reporting from March 6, 2026 says founder Mira Kulkarni and her son, Executive Director Samrath Bedi, are set to continue leading Forest Essentials' operations from New Delhi after the acquisition closes.
Who is Forest Essentials' biggest competitor?
Kama Ayurveda, backed by Spain's Puig since 2019, is the closest direct peer in luxury Ayurvedic positioning. Forest Essentials holds over 10% share and ranks among India's top 10 prestige skincare brands per Kearney, as of March 2026.
Could AI replace Forest Essentials' personalized skincare service?
Not easily. As of a March 18, 2026 review, Forest Essentials' customization service relies on a human Ayurvedic doctor-led dosha consultation rather than an algorithm, unlike many industry AI skin-analysis tools such as Perfect Corp or Tangent AI.
How large is Forest Essentials' physical footprint?
As of March 11, 2026 reporting, Forest Essentials operates nearly 200 freestanding stores with flagships in the UK, UAE, Kuwait, Qatar and Bahrain, plus supply to 190 hotels and exports to 120 countries.
