The call

greytHR keeps its base by knowing Indian payroll law cold, but Keka and Zoho People fight for the same customers and AI copilots are chipping at the easy tasks.

greytHR makes payroll and human resources software that understands India's complex tax and labor laws. It is hard for outsiders like global software companies to copy because of 30 years of specialized knowledge and thousands of locked-in customers, but local competitors like Keka and Zoho People are fighting for the same small business market and know the same rules. The company's owners (a private equity firm) plan to sell it within a few years, which limits how much profit regular shareholders can make, and whether their new AI tools actually work matters most for whether the company stays strong.

Why
01
AI pressure: Generic AI copilots (ChatGPT-style tools, payroll chatbots). AI can auto-answer HR FAQs and draft payslips, but Indian PF/ESI/TDS filing rules keep the compliance engine hard to fake. Could AI do the core job? Only partly.
02
Bigger players: Keka and Zoho People. Both sell into the same Indian SMB HR budget with modern UI and bundled AI features, competing head-on for new logos. Could a giant copy it? No, they are blocked.
03
What protects it. Deep, current knowledge of Indian payroll law across states plus 34,000+ organizations already running payroll inside it.
What would change this call
Independent market or analyst data on Keka/Zoho People customer share versus greytHR within 6 to 12 months. Would show whether peer rivals are actually taking greytHR's customers or just competing for new ones.
NAVOS AI adoption numbers and customer feedback surfacing within 6 months of its June 2026 launch. Would show whether greytHR's new AI layer is gaining real usage or stalling.
Any Apax-led IPO or strategic sale process announced within 18 to 36 months. Would show PE ownership moving toward exit, a point highlighted as capping equity upside.
Key numbers
  • 34,000+ organizations, 3.2M employees on platform (2026-07)
  • FY23 revenue ₹74.8 crore, up 35.3% YoY (2023)
  • Apax Digital holds 52.1% stake (2024-08)
Named risks
  • PE ownership under Apax (52.1% stake since Aug 2024) implies scale-then-sell strategy capping equity upside. Severity: medium
  • NAVOS agentic AI launched June 2026 is unproven; adoption and retention impact not yet independently verified. Severity: medium
  • Crowded, well-funded SMB HRMS peer set (Keka, Zoho People, HROne, Zimyo) unbarred from same market segment. Severity: medium
  • Third-party reviewers describe greytHR as 'not AI-native' with an aging UI relative to rivals. Severity: medium
  • Revenue and headcount figures vary widely and unreconciled across data sources. Severity: low

Questions people ask
Is greytHR profitable in 2026?
No independent profitability figure is public. greytHR's FY23 revenue was reported at ₹74.8 crore (~$9M), up 35.3% from FY22's ₹55.2 crore, per Inc42 (2026-05-28), but net profit/loss data has not been disclosed.
Who owns greytHR now?
Apax Digital Fund II acquired a controlling 52.1% stake in Greytip Software (greytHR) in August 2024, its largest funding round to date. Info Edge retained a reduced 18.71% fully diluted stake after the deal, per YourStory, 2024-08-05.
Could AI replace greytHR?
Unlikely to replace it outright. greytHR's moat is 30 years of Indian statutory payroll compliance logic (PF, ESI, TDS, labour codes) that generic AI lacks jurisdiction-specific grounding for. Generic copilots can commoditize surface tasks like payslip generation and FAQ handling, per third-party review, 2026-06-10.
Who is greytHR's biggest competitor?
Keka and Zoho People are the most consistently named direct rivals in India's SMB HRMS segment, alongside HROne, Darwinbox, Zimyo, factoHR, Pocket HRMS and Qandle, per an HROne comparison published 2026-07-11.
Will greytHR be sold or go public?
No sale or IPO has been announced as of mid-2026. Apax Digital took a 52.1% controlling stake in August 2024 to scale the company; its comparable HR portfolio company Paycor was sold to Paychex for $4.1B in January 2025, suggesting a similar exit pattern is plausible.
How big is greytHR's customer base?
greytHR says it serves 34,000+ organizations, manages 3.2 million+ employees, and processes over $23 billion in payroll annually as of a June 2026 press release (vendor-claimed). In August 2024 the company cited 23,000+ customers across 25+ countries.
