The call

HireRight sits behind a regulatory wall that keeps AI upstarts out of the industry, but that same wall does nothing to stop a bigger, merged rival from taking its customers.

HireRight screens job applicants and employees for legal violations and safety risks, mainly using databases and human review. It is hard to disrupt because background checks must follow strict federal rules (the FCRA law) and companies have set up 70+ computer connections to HireRight's system, but a much larger competitor called First Advantage just bought Sterling and now has double HireRight's volume and more money to build AI tools that speed up screening. The real test is whether First Advantage can keep HireRight's biggest customers by offering them lower prices and faster service over the next two years.

Why
01
Bigger players: First Advantage, now merged with Sterling Check. First Advantage closed its $2.2B Sterling deal in October 2024, creating a 100M+ screen rival that can underbid HireRight on enterprise renewals. Could a giant copy it? Yes, easily.
02
What protects it. FCRA compliance, 70+ background-check integrations, and workflow lock-in make switching screening vendors slow and risky for large employers.
What would change this call
HireRight discloses or leaks post-2024 revenue trend to insiders, press, or bondholders. Shows whether the pre-buyout revenue decline reversed or continued under private ownership.
One or more of HireRight's top-50 customer logos publicly switches to First Advantage/Sterling. Would confirm the combined rival is actively taking share, not just growing bigger.
Ruling or settlement in Wright v. HireRight or Curne v. HireRight FCRA cases. A large adverse judgment would add cost pressure and legal risk beyond competitive share loss.

HireRight is owned by private equity firms General Atlantic and Stone Point Capital, which completed a take-private acquisition on June 28, 2024 at $14.35 per share, valuing the company at roughly $1.65 to 1.7 billion enterprise value.
Is HireRight losing to First Advantage?
First Advantage closed a $2.2 billion acquisition of Sterling Check on October 31, 2024, creating a combined entity processing over 100 million annual screens and explicitly investing in AI automation, making it a larger, better capitalized rival to HireRight.
Could AI replace HireRight?

Is HireRight facing layoffs in 2026?
