The call

Imagine Learning holds its district contracts for now, but a shrinking headcount, an overdue Silver Lake exit, and an ESSER cliff are colliding at the same time.

Imagine Learning makes reading and math programs that schools use to help kids learn, and it reaches more than half of all U.S. school districts through long-term contracts. The company is hard to replace right now because schools are locked into multi-year agreements and switching takes time and paperwork. However, the company is shrinking (fewer employees than last year), has not raised new money since 2018, and government covid relief money that schools used to buy software is running out now. AI tools like ChatGPT and newer education-focused AI tutors are starting to replace some of what Imagine Learning does, and competitors like Edmentum and Pearson are not blocked from stealing customers either. The big wildcard is whether Imagine Learning's new AI features (ClassMate and a partnership with Eedi) actually make schools want to keep paying and renew their contracts, or whether the company's private equity owner will sell it within the next year or two before those budget cuts hit districts hard.

Why
01
AI pressure: MagicSchool, SchoolAI, Khanmigo, and generic ChatGPT tutoring. Free AI tutoring and lesson tools chip at supplemental products while Imagine's own AI features remain unproven for renewals. Could AI do the core job? Only partly.
02
Bigger players: Edmentum, Pearson, Savvas. Peer curriculum rivals compete for the same district contracts as ESSER money runs out and budgets tighten. Could a giant copy it? No, they are blocked.
03
What protects it. FERPA compliance, state certifications, and multi-year district contracts covering over half of US school districts.

Key numbers
  • 18M students, 38K+ schools, >50% of US districts (2026-07-13)
  • Headcount down 8.3% to 2,229 from 2023 peak (2025-12)
  • Last funding round 2018, ~$925M-$950M Silver Lake deal (2018-01-04)
Named risks
  • ESSER federal pandemic relief funding cliff reduces district purchasing power into FY25/FY26. Severity: high
  • Silver Lake has held stake since 2018, an unusually long 8-year PE hold, raising exit uncertainty. Severity: medium
  • AI-native tools like MagicSchool and Khanmigo could displace supplemental products without a proven revenue-defending AI feature. Severity: high
  • Headcount decline (down 8.3% from 2023 peak per Revelio) signals stalled growth momentum. Severity: medium
  • No new funding or valuation update since 2018 limits capital for competing against better-funded AI-native entrants. Severity: medium

Questions people ask
Is Imagine Learning profitable in 2026?
No independently verified profitability figures exist. Third-party estimates put revenue at $100M-$500M with 1,000+ employees, but this is an aggregator range, not a confirmed profit figure. No 2024-2026 funding round or valuation update has surfaced since Silver Lake's 2018 buyout.
Who owns Imagine Learning?
Silver Lake acquired a majority stake in Weld North Education, Imagine Learning's parent, from KKR on January 4, 2018, in a deal reported at roughly $925M-$950M, with Onex Partners and Ardian also participating. Onex joined as an additional partner in 2021.
Is Imagine Learning laying off employees?
No major publicly reported layoff event was found, but Revelio Labs reports headcount fell to about 2,229 globally by December 2025, down 8.3% from 2,430 in 2023 and off a 2024 peak of 2,520, indicating slow contraction rather than a sudden RIF.
Could AI replace Imagine Learning's products?
Generic AI tutors and content generators can replicate lesson planning, tutoring, and grading, Imagine Learning's core supplemental workflows. Its defense is not AI capability but district contracts, state certification, and FERPA-compliant infrastructure (ISO/IEC 27001, US-only data storage as of May 2025), which generic AI tools cannot easily replicate.
Who is Imagine Learning's biggest competitor?
Edmentum, which owns Apex Learning (acquired 2021) and Study Island, is the closest direct rival in digital curriculum and credit recovery. Pearson, Savvas, and AI-native tools like MagicSchool, SchoolAI, and Khanmigo also compete for district budgets as of 2026.
Will Imagine Learning go public or get sold?
No IPO, SPAC, or public listing has been filed as of July 2026. Silver Lake has held its stake since 2018, an unusually long PE hold period, making an exit event like a sale, recap, or IPO a watched but unconfirmed possibility within the next 12-24 months.
