The call

KnowBe4 still leads on compliance-grade training and audit paperwork, but a leveraged balance sheet, active securities litigation, and two new executives mean the next year tests whether that lead holds under pressure.

KnowBe4 teaches employees to spot phishing and cyber threats; companies use it to meet compliance rules (like HIPAA and NIST). Right now it is hard to replace because customers have locked it into their audit requirements, but Microsoft is quietly adding similar training to its Microsoft 365 package for free, and a new AI-powered startup called Adaptive Security is attacking KnowBe4 for having an old-fashioned interface and weak deepfake detection. The company also carries $1.46 billion in debt and has brand-new leadership that has not yet proven itself through a full business cycle, plus there is a securities lawsuit underway; if debt costs or legal troubles spike, the company could weaken fast enough to lose customers to Microsoft or Adaptive Security during their next contract renewal.

Why
01
AI pressure: Adaptive Security (OpenAI-backed). Pitches itself as the AI-native replacement for KnowBe4's older training UX, targeting deepfake scenarios; no material seat losses yet. Could AI do the core job? Only partly.
02
Bigger players: Microsoft. Bundles Attack Simulation Training free inside Defender/M365 E5, pressuring KnowBe4 at renewal time even though it hasn't matched compliance reporting depth yet. Could a giant copy it? Probably.
03
What protects it. Deep HIPAA/SOC2/NIST audit reporting baked into procurement and renewal contracts that rivals don't yet replicate.
What would change this call
Microsoft adds compliance-grade HIPAA/SOC2 reporting to Defender/M365 Attack Simulation Training. Would remove a key reason customers pay KnowBe4 instead of using bundled Microsoft tools.
Adaptive Security publicly announces mid-market customer wins switching from KnowBe4. Would show AI-native rivals converting KnowBe4's 'legacy UX' criticism into actual renewal-cycle churn.
Ruling or settlement in the S.D. Fla. securities class action after the mid-January 2026 amended complaint deadline. Would clarify whether legal exposure becomes a material financial or reputational drag on the company.

Questions people ask
Is KnowBe4 profitable in 2026?
Unknown publicly. KnowBe4 went private under Vista Equity Partners on February 1, 2023 and no longer discloses audited financials. Third-party revenue estimates range wildly from $246M to $1.0B, none confirmed by the company, so profitability cannot be verified from public sources as of mid-2026.
Who owns KnowBe4?
Vista Equity Partners has owned KnowBe4 since completing its take-private acquisition on February 1, 2023, paying $24.90 per share cash for a deal valued at roughly $4.6 to $4.9 billion. The company was previously Nasdaq-listed as KNBE after its April 2021 IPO.
Could AI replace KnowBe4?
Not easily. KnowBe4 itself deploys AI heavily, shipping 12 AI agents (AIDA suite) between August 2024 and May 5, 2026, while retaining 15 years of proprietary behavioral phishing data and audit-recognized SOC 2/HIPAA compliance reporting that generic AI tools cannot replicate.
Who is KnowBe4's biggest competitor?
Microsoft poses the biggest structural threat by bundling Attack Simulation Training free into Defender for Office 365 under M365 E5. OpenAI-backed Adaptive Security is also contesting KnowBe4 directly, marketing itself as an AI-native alternative to KnowBe4's 'legacy UX' in the deepfake-threat niche as of 2025-2026.
Is KnowBe4 facing lawsuits?
Yes. A federal securities class action, In re KnowBe4 Inc. Securities Litigation (S.D. Fla., No. 1:25-cv-22574), remains active; a motion to dismiss was partly granted with plaintiffs given until mid-January 2026 to amend. A separate Delaware Chancery suit over the Vista take-private was dismissed May 27, 2026.
Did KnowBe4 have a security incident of its own?
Yes. In July 2024, KnowBe4 inadvertently hired a North Korean operative who used an AI-enhanced photo and stolen identity to secure an internal engineering role. The company detected and contained the incident within about 25 minutes with no data loss, and disclosed it publicly on September 18, 2024.
