The call

Tanabe Pharma still has real drugs and real regulatory protection, but its new PE owner is selling the pieces that generate cash while betting the pipeline pays off before the fund needs an exit.

Mitsubishi Tanabe Pharma makes and sells prescription drugs, but since a private equity firm bought it in mid-2025, the company has been selling off pieces. Its biggest selling drug (RADICAVA, used by over 22,000 patients with ALS) was sold to a rival company called Shionogi in 2026, and manufacturing is being handed to another firm. The company is shrinking fast: staff is down 15% and almost no one is being hired. The main question is whether new medicines in development will get approved by regulators in the next few years, because that is the only way the private equity owner can make money before selling whatever is left. A regulatory decision on an experimental drug called ND0612 could be a turning point, but until then the company is basically waiting to see if science works out.

Why
01
AI pressure: AI drug discovery labs like Insilico Medicine and Isomorphic Labs. AI speeds up rival pipelines industry wide, but no evidence yet it is taking patients or deals from Tanabe directly. Could AI do the core job? Unlikely.
02
Bigger players: Shionogi. Shionogi bought all US rights to RADICAVA in April 2026, taking over 22,000 ALS patients and the revenue that came with them. Could a giant copy it? No, they are blocked.
03
What protects it. Regulatory exclusivity on approved drugs and a pipeline (ND0612, dersimelagon) that still needs Tanabe's clinical and filing expertise to reach market.
What would change this call
FDA decision on ND0612 resubmission (prior CRL June 2024, resubmitted May 2025). Approval would rebuild a protected revenue stream; another rejection confirms pipeline weakness.
Tanabe Pharma Factory sale to Towa Pharmaceutical closing, targeted November 2026. Confirms further shrinkage into a licensing-only shell under Bain Capital ownership.
Any further divestiture of oncology or diabetes assets within 12 months. Would confirm a PE strip-down pattern rather than a stabilizing R&D pivot.
Key numbers
  • Bain Capital paid ~$3.3-3.4B for MTPC (2025-02-07)
  • Core operating income fell 61% to ~$370M pre-sale (2024-03-31)

  • Legacy liability exposure from past drug issues tied to Welfide International and Alpha Therapeutic entities. Severity: medium
  • Sharp hiring slowdown and workforce contraction may reduce R&D execution capacity. Severity: medium

Questions people ask
Is Mitsubishi Tanabe Pharma still owned by Mitsubishi Chemical?
No. Bain Capital completed its acquisition of 100% of the company for roughly $3.3 to 3.4 billion on July 1, 2025, and the company was renamed Tanabe Pharma Corporation effective December 1, 2025, fully separating it from Mitsubishi Chemical Group.
Did Tanabe Pharma sell RADICAVA?
Yes. Tanabe Pharma America sold all US rights to RADICAVA and RADICAVA ORS, its flagship ALS drug treating over 22,000 patients, to Shionogi, with the deal announced December 22, 2025 and finalized April 1, 2026, including transfer of over 100 staff.
Is Tanabe Pharma laying off employees?
Headcount is shrinking as units are divested. Over 100 US staff moved to Shionogi with the April 2026 RADICAVA sale, and roughly 500 or more manufacturing employees are slated to transfer to Towa Pharmaceutical when that deal targets closing in November 2026.
Who is Tanabe Pharma's biggest competitor now?
Shionogi became a direct ALS rival after acquiring the RADICAVA franchise from Tanabe Pharma in April 2026, and Towa Pharmaceutical is absorbing Tanabe's manufacturing base under a deal announced July 8, 2026 targeted to close by November 2026.
Could AI replace Tanabe Pharma's drug approvals?
No. Regulatory exclusivity, clinical trial IP, and physician relationships remain human and regulatory anchored moats. Bain's own research from July 14, 2025 finds AI mainly affects literature review, target identification, and marketing click through rates, not approval processes.
Is Tanabe Pharma profitable?
Core operating income fell 61% year on year to about 56.2 billion yen, roughly $370 million, in the fiscal year ended March 31, 2024, the year before Mitsubishi Chemical agreed to sell the company to Bain Capital in February 2025.
