The call

Nexi still runs payment plumbing for millions of European merchants, but Worldline is chipping away its core business while a possible CVC buyout looms over the stock.

Nexi processes payments for thousands of businesses and banks across Europe, handling about 60% of its revenue from merchant services. A rival called Worldline is taking away its Italian bank customers, and Google and Visa are pushing new ways to handle payments that could bypass traditional processors altogether. The company admits it overpaid for past mergers, its stock has crashed, and a private equity firm is trying to buy it out, so investors face the risk of either a bad deal or continued losses before anyone knows which direction the company is heading.

Why
01
AI pressure: Google/Visa agentic-commerce standards. If AI agents start paying merchants directly through new standards, Nexi's checkout box gets skipped, not eaten yet. Could AI do the core job? Only partly.
02
Bigger players: Worldline. Worldline is winning Italian bank contracts away, Merchant Solutions revenue fell 1.4% in Q1 2026 because of it. Could a giant copy it? Probably.
03
What protects it. Deep bank integrations and regulatory licensing across 25+ countries make ripping out Nexi's payment rails slow and costly.

Questions people ask
Is Nexi profitable in 2026?
Operationally yes: FY2025 EBITDA was €1,901m at a 53.1% margin (as of 2026-03-05), and excess cash generation rose 12% to €806m. But a €3.68bn non-cash goodwill impairment tied to the Nets/SIA mergers hit FY2025 net results, per Nexi's own FY2025 filing.
Who owns Nexi?
Nexi is publicly listed on Euronext Milan. As of May 2025, top shareholders were Evergood H&F Lux (Hellman & Friedman, 21.19%) and Cassa Depositi e Prestiti (Italy's state lender, 18.25%). In April 2026 CVC Capital was reported in early talks for a ~€9bn take-private deal, still unresolved.
Is Nexi losing business to Worldline?
Yes. Nexi's Merchant Solutions revenue, its largest segment, fell 1.4% year-over-year to €460m in Q1 2026 (reported 2026-05-07), which Nexi attributed to lost Italian bank-distribution contracts, several of which shifted to rival Worldline.
Could AI or agentic commerce replace Nexi?
Nexi is positioning against this by launching its own Model Context Protocol for AI agents (2026-03-04) and partnering with Google Cloud on agent-payment protocols AP2/UCP (2026-07-03), but Visa and Google are setting competing agentic-commerce standards that could compress Nexi's checkout-layer margins.
Who is Nexi's biggest competitor?
Worldline is Nexi's closest European rival and is actively winning Italian bank contracts away from Nexi as of Q1 2026. Adyen, Stripe, and the merged Global Payments/Worldpay also compete, with Global Payments reported as now larger than Nexi in Europe (2026-05-31).
Is Nexi being taken private?
Not confirmed. Reuters/FT reported April 28, 2026 that CVC Capital was in early-stage talks for a roughly €9bn deal (including ~€6bn debt) to take Nexi private, its third such approach since 2015, contingent on Italian government golden-power review; no deal had closed as of the report.
