The call

Rokt is a profitable, fast-growing checkout ad network whose protection comes from conflicting retailer incentives, not technology, leaving regulatory rules on checkout upsells as the real open question.

Rokt is a company that shows customers personalized offers and ads at the moment they are buying something online. The company owns both sides of this marketplace (the stores that sell things and the companies that advertise), has 10 billion transactions per year to learn from, and embeds itself deeply into checkout pages. Amazon and Walmart have their own ad networks but cannot easily copy Rokt's neutral model because they would create conflicts with their own stores, and Criteo is a peer competitor but not currently taking business away. The biggest risk is that regulators like the FTC have been cracking down on checkout ads and third-party offers (already fining companies like StubHub and suing Uber and Ticketmaster for these practices), and Rokt could face similar action even though nothing has happened yet.

Why
01
AI pressure: General-purpose recommendation AI (e.g. large models from OpenAI, Google). AI mostly feeds Rokt's targeting engine using its private transaction data rather than replacing its checkout network. Could AI do the core job? Only partly.
02
Bigger players: Amazon Advertising and Walmart Connect. Both run bigger ad businesses but can't easily copy Rokt's neutral, cross-merchant checkout model without conflicting with their own retail interests. Could a giant copy it? Probably.
03
What protects it. A two-sided network of 33,000+ merchants and 10B+ yearly transactions that big retailers can't copy without competing with themselves.
What would change this call
FTC brings a dark-pattern enforcement action naming checkout-embedded upsells like Rokt's. Would show Rokt's core monetization surface is under direct regulatory threat.
Shopify ships native post-purchase upsell/monetization features at scale. Would show Rokt's primary distribution channel is being disintermediated by the platform itself.
Rokt files for IPO or completes a new financing round confirming a valuation above or below $3.5B. Would clarify whether investor demand and true valuation exceed the company's own confirmed figure.

Questions people ask
Is Rokt profitable in 2026?
Yes. Sacra estimates Rokt reached about $100M in EBITDA for the year ended August 2025, on roughly $900M annualized revenue by October 2025, with the company itself claiming $800M+ revenue for 2025 in a July 2026 press release.
What is Rokt's valuation in 2026?
Rokt's last company-confirmed valuation was $3.5B from a January 16, 2025 secondary transaction led by Tiger Global. Higher figures of $7.2B (Caplight, April 2026) and $7.9B (unconfirmed term sheet, November 2025) exist but are not company-confirmed.
Is Rokt going public soon?
No. The Australian Financial Review reported on January 27, 2026 that Rokt explicitly ruled out a 2026 float, citing stock market volatility tied to AI uncertainty, despite earlier reports it was preparing for a possible listing.
Who is Rokt's biggest competitor?
AdsPostX is Rokt's direct litigation rival in an SDNY case filed in 2023. Criteo is a peer in commerce media. Amazon Advertising and Walmart Connect compete for similar ad spend but face channel-conflict barriers to copying Rokt's neutral cross-merchant model.
Could AI replace Rokt?
Unlikely to fully replace it. Rokt's core offer-ranking function is an AI recommendation problem, but its moat is proprietary first-party data from 10B+ transactions a year and 1.1B unique customers, plus deep SDK integrations embedded in checkout flows across 33,000+ merchants.
Does Rokt face regulatory risk over its checkout ads?
Rokt's entire product embeds third-party offers at checkout, the same surface the FTC has targeted in dark-pattern enforcement, including a $10M StubHub settlement in April 2026. No FTC action against Rokt itself has been reported as of mid-2026.
