SeatGeek
Online marketplace selling resale and primary tickets for concerts, sports, and theater.
The call
SeatGeek holds real enterprise contracts but sits boxed in by Ticketmaster's scale while it waits on an antitrust ruling it cannot control.
SeatGeek lets people buy and resell event tickets, and also sells tickets directly for venues and promoters. The problem is that Ticketmaster and Live Nation own or control most of the big venues, so SeatGeek cannot reach as many customers or events. Right now SeatGeek is betting on a court order that would force Ticketmaster to let other ticket sellers use the same venues, but that ruling is still months away and the company is shrinking while it waits.
Why
01
AI pressure: AI shopping agents (ChatGPT, Perplexity, Operator-style bots) buying tickets directly. If AI agents book tickets straight through venue or Ticketmaster APIs, SeatGeek's app layer gets skipped entirely. Could AI do the core job? Unlikely.
02
Bigger players: Ticketmaster / Live Nation Entertainment. Ticketmaster's 70 to 80 percent venue control and exclusive deals box SeatGeek into a shrinking slice of primary ticketing. Could a giant copy it? Yes, easily.
03
What protects it. Multi-year exclusive contracts with teams and venues (Cowboys, Ravens, Liverpool, Man City) plus deep access-control integrations that are costly to rip out.
What would change this call
Judge Subramanian's antitrust remedy order in the Live Nation/Ticketmaster case, expected within 6-12 months. A structural breakup vs. behavioral-only ruling determines whether SeatGeek gains real venue access.
Whether SeatGeek's headcount (down 21% YoY to ~714 by Dec 2025) stabilizes or keeps shrinking. Continued cuts would signal weak growth prospects despite the antitrust case.
Whether SeatGeek converts its confidential 2023 S-1 into an actual IPO, especially after StubHub's public listing. A completed IPO at a stepped-up valuation would show investor confidence in its enterprise gains.

Questions people ask
- Is SeatGeek profitable in 2026?
- No audited profitability data exists. Revenue estimates of $500M+ for 2023 and 2024 are company guidance or vendor-page figures, not confirmed financials. SeatGeek cut 15% of its workforce in Feb 2025, a signal often tied to cost pressure rather than profitable growth.
- Could AI replace SeatGeek?
- Unlikely for its core business. SeatGeek's primary-ticketing contracts with teams like the Dallas Cowboys and venues require multi-year deals and access-control integrations AI can't replicate. AI (its own Feb 2024 'Smart Pricing' tool) touches consumer pricing and listings, not enterprise venue relationships.
- Who is SeatGeek's biggest competitor?
- Ticketmaster, owned by Live Nation Entertainment, which controls an estimated 70-80% of major US venue contracts and processed about $6.7B in tickets in a recent quarter as of June 2024, dwarfing SeatGeek's roughly 12% estimated market share.
- Who owns SeatGeek?
- SeatGeek is privately held and VC-backed, with no parent company. Its most recent disclosed round was a $238M Series E in August 2022 led by Accel, valuing it around $1.2 to $1.24 billion post-money. Other investors include Wellington Management and Arctos Sports Partners.
- Will SeatGeek go public in 2026?
- Uncertain. SeatGeek confidentially filed for an IPO with the SEC in April 2023 and lined up Morgan Stanley, Citigroup and Wells Fargo as underwriters by mid-2024, but as of July 2026 it remains private, reportedly waiting to gauge rival StubHub's 2025 IPO performance first.
- What is the status of the Ticketmaster antitrust case affecting SeatGeek?
- On April 15, 2026, a federal jury in SDNY found Live Nation/Ticketmaster liable for monopolization. The DOJ settled separately in March 2026 for $280M without divestiture, but 33 states plus DC won their case; remedies remain pending as of a July 27, 2026 hearing before Judge Subramanian.
