The call

Sterling's screening business is sound and the parent is growing, but Sterling itself is a shrinking subsidiary mid-absorption with no independent future.

Sterling Check runs background checks and verification for hiring, using access to court records and government databases that take years to build. It was bought by First Advantage in late 2024 and is no longer its own company. The core business is hard to replace because of all those legal connections and thousands of big clients, but right now Sterling is cutting about one-third of its workers as it gets merged into First Advantage, which means the team and brand may not stay the same. Artificial intelligence could start doing some of the simpler document-checking work that Sterling does today, though the regulated screening parts (the main business) are harder to automate. The big question is whether Sterling survives as its own thing after the merger finishes in late 2026, or whether it just becomes another division of First Advantage with a different name.

Why
01
Bigger players: First Advantage. Sterling isn't fighting a rival, it got bought. Parent is cutting headcount 35% since 2023 while folding the brand into itself. Could a giant copy it? No, they are blocked.
02
What protects it. FCRA compliance infrastructure, 50,000+ client contracts, and court/records integrations that took years to build make ripping Sterling out costly for First Advantage.
What would change this call
FA Q1/Q2 2026 earnings mention Sterling headcount, synergy targets, or client attrition. Shows whether integration is stabilizing or still cutting deeper.
Sterling brand disappears from FA marketing/site or merges fully into FA naming by late 2026. Would confirm Sterling is being absorbed, not retained as distinct unit.
CFPB complaint counts for Sterling/FA rise sharply in 2026 filings. Would signal service quality strain from integration, similar to HireRight's post-PE spike.

  • FCRA regulatory exposure: 2019 CFPB consent judgment and ongoing individual litigation as of 2026. Severity: medium
  • Sterling brand could be wound down or fully absorbed into First Advantage post-integration. Severity: medium
  • AI-driven commoditization of document/ID verification fulfillment layer could compress margins. Severity: low
