The call

Study Group lost its Australian business to Navitas, ran through two rescue deals, and now depends on Arete Education to keep its remaining academic operations solvent.

Study Group helps international students get into universities by offering preparation courses and visa support. It used to be strong in Australia, but sold that entire business to a rival called Navitas in 2023, then got rescued and flipped to a new owner called Arete Education in 2026. The company's relationships with universities and its ability to help students get visas are valuable, but Navitas now has them too and even won exclusive government status in Australia, which means Study Group probably cannot get that business back. The one thing that matters most is whether Arete can fix Study Group's money problems and put the pieces back together over the next six months without more parts falling apart.

Why
01
AI pressure: None apparent. No AI product is displacing pathway programs yet; risk would come from AI-driven direct admissions or counseling tools, not seen in filings. Could AI do the core job? Only partly.
02
Bigger players: Navitas. Study Group sold its whole Australian/NZ business to Navitas in 2023, then Navitas won exclusive Australian government pathway status in Sept 2025, blocking re-entry. Could a giant copy it? Probably.
03
What protects it. University accreditations, visa registrations and agent networks still exist, now backed by Arete Education's 2026 acquisition and cash infusion.
What would change this call
Study Group FY2024/FY2025 audited accounts show EBITDA turning positive versus the FY2023 -£10m loss. Would show the business stabilizing financially rather than continuing to bleed cash.
Which legacy Study Group entities are placed into administration after the May 2026 Arete acquisition. Would reveal how much of the old company survived versus was written off.
Whether going-concern warnings are removed from any surviving Study Group/Arete filings. Would indicate auditors now view the business as solvent, not distressed.

Questions people ask
Does Study Group Australia still exist as a company?
No. Study Group sold its entire Australasian pathway business, including Taylors College Sydney and Auckland and University of Waikato College, to rival Navitas in a sale completed 12 May 2023. The entity was renamed Navitas Australia Pty Limited (formerly Study Group Australia Pty Limited).
Is Study Group profitable?
Not as of its last full audited year: Study Group Limited posted adjusted EBITDA of negative £10.0 million for FY2023, down from a positive £10.9 million in FY2022, alongside a 6% revenue decline to £112.8 million and repeated going-concern warnings in its filings.
Who owns Study Group now?
Study Group was acquired by Arete Education, a joint venture between Global University Systems and Brightstar Capital Partners, announced 8 May 2026. The deal covers all academic operations; prior owners ICG and Bain Capital had taken majority stakes in June 2025 after Ardian's 2019 buyout.
Who is Study Group's biggest competitor?
Navitas, which bought Study Group's entire Australasian pathway business in May 2023 and then secured exclusive 'pathway provider of choice' status under Australia's Embedded University Pathway Provider guidelines on 28 September 2025, locking Study Group out of that market.
Is it risky to join Study Group right now?
Yes, there is real risk: Study Group's own FY2022 through FY2024 filings carried recurring going-concern language, and the May 2026 Arete Education deal explicitly notes that legacy entities not acquired may be routed into administration rather than continuing operations.
Could AI replace what Study Group does?
Not the core moat: accredited articulation agreements with 30-plus universities and CRICOS/visa registrations are regulatory assets AI cannot replicate. But tutoring, grading, and admissions-matching layers are exposed, and new owner Arete Education stated plans in May 2026 to invest in AI tools for student outcomes.
