The call

BASE is growing and profitable with payment and lending ties that lock in merchants, while a domestic rival with the same model and an unresolved takeover situation both sit in the picture.

BASE runs an online store builder and payment processor for small merchants in Japan, making money from transaction fees and financing services. It is hard to replace because it owns the payment pipes (PAY.JP) and has 1 to 2 million locked-in merchants, but the store-building part itself is easy to copy, which is why competitors like STORES and GMO Color Me are already taking customers with the same free model. The biggest question mark is whether a controlling shareholder (Melco Holdings) will force a sale or takeover in the next few years, which could completely reset the company's value and direction.

Why
01
AI pressure: Agentic commerce tools (per Yano Research 'agentic commerce' framing). AI agents that auto-generate storefronts could commoditize BASE's core setup layer, though none serve Japanese SMBs natively yet. Could AI do the core job? Only partly.
02
Bigger players: STORES (Z Holdings/LY Corp). STORES runs the same free plus take-rate model in the same Japanese market with no structural gap separating the two. Could a giant copy it? Probably.
03
What protects it. Owns the payment rail (PAY.JP) and merchant lending (YELL BANK) inside a base of 1 to 2 million merchants, raising switching costs beyond just the storefront.
What would change this call
Melco's Maki NDA/engagement status resolves into a bid, standstill, or governance fight. Would show whether BASE's roadmap and independence face disruption from a control fight.
Shopify ships a Japan-localized micro-merchant product with native JP payment methods. Would show the slow global incumbent starting to contest BASE's core micro-merchant base.
BASE-segment organic GMV growth re-accelerates or keeps decelerating in coming quarterly reports. Would show whether growth is real organic demand or mostly M&A-driven consolidation.

Questions people ask
Is BASE Inc profitable in 2026?
Yes. BASE FY2025 (year ended Dec 2025) net profit was JPY1.826bn, up 436.9% YoY, with operating profit of JPY1.686bn, up 118.2% YoY. FY2026 guidance calls for revenue of JPY28.371bn, up 36.9% YoY, per the company's Feb 2026 earnings disclosure.
Who owns BASE Inc and is there a takeover risk?
BASE is publicly traded on TSE (ticker 4477) with no parent. Founder Yuta Tsuruoka held about 15.55% as of June 2024. Melco Holdings CEO Hiroyuki Maki raised his stake from 5.40% to 11.42% by March 2025 seeking a control premium, and an NDA/friendly engagement extension was still ongoing as of May 2026.
Could AI replace BASE Inc's storefront platform?
AI can automate storefront setup, product descriptions, and logistics calculations, some of which BASE already automates for merchants, including AI-driven overseas-shippability checks shipped in FY2025. But BASE's payment rails (PAY.JP) and merchant financing (YELL BANK) data are harder for generic AI tools to replicate as of Feb 2026.
Who is BASE Inc's biggest competitor?
BASE's closest domestic rival is STORES (part of the Z Holdings lineage), which runs the same free/take-rate storefront model, plus GMO Pepabo's Color Me and MakeShop. Shopify is the larger global incumbent but has not yet shipped an aggressive Japan-localized micro-merchant product as of mid-2026.
Why did BASE Inc's stock crash?
BASE shares traded around JPY310 to 430 as of July 2026, down roughly 90% from their all-time high of JPY3,448, giving a market cap of about JPY34bn ($220M), despite the company returning to strong profit growth in FY2025 results reported Feb 2026.
What is BASE Inc's YELL BANK and why does it matter?
YELL BANK is BASE's merchant financing and factoring product built on proprietary transaction data from its embedded merchant base, forming part of the company's competitive moat alongside its PAY.JP payment rails, as described in BASE's FY2025 earnings disclosures from February 2026.
