The call

CARET Legal keeps small firms locked in through workflow and compliance ties, but Clio is outspending and outbuilding it on AI while chasing the same customers.

CARET Legal makes software that helps small and medium-sized law firms manage their cases, money, and paperwork. It is hard to copy because law firms need reliable tools they can trust with client money and confidential information, and switching takes work. However, Clio is a much bigger competitor with far more money and resources, recently bought a major legal research company, and is moving faster on artificial intelligence features. The one thing that could change this: if CARET's new leadership ships AI tools that actually work better than Clio's by the end of 2026, not just matching what everyone else offers, it might carve out a stronger position, but that has not happened yet.

Why
01
AI pressure: Clio Duo. Clio bundles AI research and drafting from its vLex buy while CARET's own AI push is still promised, not shipped. Could AI do the core job? Only partly.
02
Bigger players: Clio. Clio raised $500M at a $5B valuation in Nov 2025 and bought vLex for $1B, chasing the same small firm customers CARET needs. Could a giant copy it? Yes, easily.
03
What protects it. Trust accounting compliance and embedded payments make firms slow to switch once their books run on the platform.
What would change this call
Clio ships an integrated vLex plus practice management bundle with mid-market pricing by end of 2026. Would show Clio converting its capital edge into a product CARET Legal cannot match.
CARET Legal's CEO Jay Kuhlman ships AI features matching or beating Clio Duo by end of 2026. Would show CARET closing the AI gap rather than staying at table-stakes.
THL announces a sale, exit, or further roll-up acquisition involving CARET Legal. Would show whether PE ownership is nearing a strategic sale versus continued investment.
Key numbers
  • CARET Legal revenue est. $2.9M vs Clio's $5B valuation (2025-2026)
  • CARET Legal has ~30 employees, up 7.1% YoY (2026-06-20)
  • Clio raised $500M at $5B, Nov 2025, after $900M at $3B in 2024 (2025-11)
Named risks
  • Clio's far greater capital ($5B valuation, $1B vLex deal Nov 2025) and AI investment pace could erode CARET's mid-market share. Severity: high
  • THL private equity ownership since 2021 nears typical 5-7 year exit window, raising sale or recap uncertainty. Severity: medium
  • AI automation of document review, summarization and drafting threatens routine legal-admin revenue lines. Severity: medium
  • Recent CEO turnover (interim CEO to Jay Kuhlman, June 2025) signals possible strategic instability. Severity: low
  • Wildly inconsistent third-party revenue and headcount estimates make CARET's true scale and trajectory hard to verify. Severity: low

Questions people ask
Is CARET Legal profitable?
No public profitability data exists. CARET Legal is privately held under PE owner Thomas H. Lee Partners since March 2021 and, as a private company, discloses no earnings. Third-party estimates of its revenue vary wildly by scoping, from roughly $2.9M to $63M, with no audited figures available as of 2026.
Who owns CARET Legal?
CARET Legal's parent, CARET (formerly AbacusNext), has been majority owned by private equity firm Thomas H. Lee Partners since it acquired the stake from PSG on March 10, 2021. THL's portfolio page still listed the investment as active as of March 2026.
Could AI replace CARET Legal?
Not entirely. Document review, summarization, and drafting are AI exposed, and CARET Legal already ships an AI 'Quick Summary' tool as of April 2025. But IOLTA trust accounting compliance and its embedded APX payments processor create workflow lock in that raw AI tools cannot easily replicate.
Who is CARET Legal's biggest competitor?
Clio is the dominant threat. Clio raised $900M at a $3B valuation in July 2024, then closed a $1B vLex acquisition plus a $500M Series G at a $5B valuation in November 2025, dwarfing CARET Legal's roughly 30 employee, PE backed operation targeting the same small and mid size US law firms.
Did CARET Legal used to be called something else?
Yes. CARET Legal was originally Zola Suite, founded in 2015 in Del Mar, California, before being rebranded to CARET Legal in February 2023 as part of parent company AbacusNext's rebrand to CARET, per a company announcement dated June 21, 2023.
How many employees does CARET Legal have?
Estimates vary by scope. Data tracker Crustdata reported about 30 employees for the CARET Legal brand specifically as of June 2026, while the San Diego Business Journal reported parent company CARET at 250 plus employees as of July 2025, reflecting shared staff across CARET's multiple brands.
