The call

Codemasters keeps the one license nobody else can get, but it now runs on a single franchise inside a heavily leveraged EA.

Codemasters makes Formula 1 racing games under an exclusive deal with the real-world sport that runs through at least the next few years. The license is hard for others to get, and F1 25 is selling well, which keeps the studio alive. But the studio has shrunk dramatically, other game series got cancelled, two rounds of layoffs happened in 18 months, and a new owner, EA, is buried in debt and using artificial intelligence to replace human workers who test games, meaning more cuts could come. The real test is whether the studio keeps enough people and money to ship the next F1 game in 2027 without major delays, and whether the owner's debt pressure forces more painful changes before then.

Why
01
AI pressure: EA's internal ML-driven QA automation. EA now runs 85% of its QA through machine learning, hollowing out the testing roles that once padded Codemasters' headcount. Could AI do the core job? Only partly.
02
Bigger players: Electronic Arts under PIF/Silver Lake/Affinity Partners ownership. EA's $55B take-private adds about $20B debt at roughly 10x leverage, and post-close cost resets tend to land hardest on single-franchise studios. Could a giant copy it? No, they are blocked.
03
What protects it. The exclusive FIA Formula 1 game license, locked to Codemasters by contract and off limits to Sony or Microsoft rivals.
What would change this call
EA take-private closes and Codemasters headcount changes within 6-12 months after. Shows whether leveraged owner cuts the studio to service ~$20B debt.
Commercial results reported for F1 25's 2026 Season Pack versus prior annual F1 titles. Shows whether extended DLC model can sustain revenue without yearly releases.
Scope and staffing confirmed for the 2027 F1 title, and whether a second franchise is greenlit. Shows if Codemasters stays a single-franchise studio or gets expanded.
Key numbers
  • $55B EA take-private at $210/share (2025-09-29)
  • ~$20B debt at ~9.95x leverage (2026-01-12)
  • Two Codemasters layoffs in 18 months (2025-05-04)
Named risks
  • EA take-private leverage (~$20B debt, ~9.95x) may force further Codemasters cost cuts post-close. Severity: high
  • Studio now monoline, entirely dependent on single F1 franchise after rally and Project CARS shutdowns. Severity: high
  • AI-driven QA automation (85% company-wide per EA) continuing to reduce Codemasters headcount. Severity: medium
  • New multi-year F1 release cadence with DLC could underperform commercially versus annual model. Severity: medium
  • Regulatory delay (e.g. CFIUS) could extend uncertainty around EA ownership transition. Severity: low

Questions people ask
Is Codemasters profitable in 2026?
Codemasters does not report standalone financials; results are folded into parent Electronic Arts. Its flagship F1 25 (May 2025) got generally positive reviews and was extended with a 2026 Season Pack rather than a new annual release, suggesting solid but not disclosed commercial performance.
Who owns Codemasters?
Codemasters has been a wholly owned Electronic Arts studio since EA completed its acquisition on 17 to 18 February 2021 for 604 pence per share (~$1.2B enterprise value). EA itself is now being taken private by PIF, Silver Lake and Affinity Partners in a ~$55B deal agreed 29 September 2025.
Could AI replace jobs at Codemasters?
Partially already happening. EA CEO Andrew Wilson stated as of June 2026 that roughly 85% of QA work company-wide is now done via machine learning, and Codemasters' own December 2023 layoff round specifically targeted QA staff, making testing the clearest AI-displaced function so far.
Who is Codemasters' biggest competitor?
In official F1 games, none, since Codemasters has held the exclusive FIA Formula One license since 2008. In racing/sim-racing broadly, Sony's Polyphony Digital (Gran Turismo, 100M+ lifetime copies as of December 2025) and Microsoft's Turn 10/Playground Games (Forza) are the closest rivals.
Will Codemasters make more racing games besides F1?
Unlikely in the near term. EA halted WRC/rally development around May 2025 (the license lapsed and moved to Nacon for 2027), and Project CARS studio Slightly Mad was shut in November 2022, leaving Codemasters effectively a single-franchise F1 studio as of mid-2025.
What happens to Codemasters after EA goes private?
Unclear but watched closely. EA's $55B take-private by PIF, Silver Lake and Affinity Partners was reported in final stages as of January 2026 with closing expected around Q1 FY2027 (~June 2026); the deal carries roughly $20B debt at ~9.95x leverage, raising risk of further cost-cutting at subsidiaries like Codemasters.
