The call

Cognition has real revenue and a genuine government foothold, but it resells the same frontier models that Anthropic and Microsoft use to compete directly against it.

Cognition AI builds software that writes code for programmers and sells it to large companies and government agencies. The company has real customers paying $492 million a year, and it has special security certifications that the U.S. government requires, which other AI companies have not yet gotten. However, the core idea of an AI coding agent is being copied by much bigger companies like Microsoft and Google, and Cognition depends on renting artificial intelligence models from other companies like Anthropic instead of building its own, which cuts into profits. The single biggest question is whether Anthropic or other model makers will get the same government security certifications that Cognition has, which would eliminate Cognition's strongest advantage.

Why
01
AI pressure: Anthropic's Claude Code. Claude Code reportedly leads SWE-bench and Anthropic supplies the model Devin runs on, so Cognition competes with its own supplier. Could AI do the core job? Yes, likely.
02
Bigger players: Microsoft/GitHub Copilot. Copilot has 20M+ developers already inside it and moved to usage-based billing in June 2026, squeezing Cognition's pricing room. Could a giant copy it? Yes, easily.
03
What protects it. FedRAMP High and DoD IL4-6 clearances plus named logos like NASA, Army, Navy, and Anduril that rivals cannot easily match.
What would change this call
Anthropic or OpenAI announce FedRAMP High or DoD IL4-6 authorization for their own coding agents. Would collapse Cognition's strongest moat, the federal/defense compliance seal.
A named Cognition enterprise logo (e.g. Goldman Sachs, Dell, Cisco) is reported switching to Claude Code or Copilot. Would show the incumbents are actively converting Cognition's paying customers.
Cognition raises again within 6-9 months at a flat or down valuation versus the May 2026 $25B mark. Would signal growth or margin stress despite the reported ARR figures.
Key numbers
  • $492M ARR reported at Series D (2026-05-27)
  • ~50% month-over-month enterprise growth for 6 months (2026-05-27)
  • Total capital raised $1.9B-$2.5B (2026-07-08)
Named risks
  • Core commercial coding-agent market commoditizing under pressure from Claude Code and Copilot pricing shifts. Severity: high
  • Post-Windsurf integration culture clash caused layoffs and buyouts, signaling ongoing retention risk. Severity: medium
  • Dependence on frontier models it does not own (Anthropic, others) compresses margins and creates supplier-competitor conflict. Severity: high
  • Funding cadence of roughly every 4-9 months raises down-round risk if AI funding cycle cools. Severity: medium
  • Federal/government revenue expansion exposes Cognition to procurement, shutdown, and policy-driven volatility. Severity: low

Questions people ask
Is Cognition AI profitable?
Cognition has not disclosed profitability. As of May 27, 2026 it reported an annualized revenue run-rate of about $492 million with net burn historically kept under $20 million, but no profit figures have been published alongside its $1B Series D at a $25B pre-money valuation.
How much money has Cognition AI raised?
Cognition raised roughly $1.9 to $2.5 billion total through July 2026, including a $21M seed, $175M Series A, ~$300M Series B, $400M Series C at $10.2B valuation (Sept 2025), and a $1B+ Series D at $25B pre-money valuation announced May 27, 2026.
Did Cognition AI lay off employees after the Windsurf acquisition?
Yes. On August 5, 2025, Cognition laid off 30 newly acquired Windsurf staff and offered 9-months'-salary buyouts to roughly 200 remaining Windsurf employees unwilling to commit to an 80-hour, six-day office culture, per India Today reporting.
Who is Cognition AI's biggest competitor?
Anthropic's Claude Code is the closest rival, reportedly leading SWE-bench Verified at roughly 80 to 87.6 percent as of June 23, 2026, while GitHub Copilot (Microsoft) leads on distribution with 20 million-plus active developers as of mid-2026.
Could AI labs like Anthropic replace Cognition's Devin?
Partly: Anthropic supplies the frontier models Devin runs on and also ships a competing agent, Claude Code. Cognition's defense against pure commoditization is its FedRAMP High, DoD IL4-6, and ITAR certifications, reached fully by July 13, 2026, which frontier labs have not yet matched.
Who owns Cognition AI?
Cognition AI is privately held and VC-backed, founded by Scott Wu (CEO), Steven Hao (CTO), and Walden Yan (CPO) in 2023. Its latest round, a $1B+ Series D at a $25B pre-money valuation, was led by Lux Capital, General Catalyst and 8VC, announced May 27, 2026.
