The call

Criteo's retail-media brokerage still works, but the shrinking retargeting business it depends on is now colliding with a buyout offer that may end the public story before the growth story plays out.

Criteo helps online stores and brands show ads to people who visited their websites before. The company has a real advantage in working with retailers like Walmart and Target without angering Amazon, but that business is only a small part of their work. The bigger 85% of their money comes from retargeting ads, which is getting squeezed hard because Google and Meta built their own ad tools that do the same thing better and cheaper. A private equity company offered to buy Criteo in mid-2026, which means investors face a choice between taking cash now or waiting for a company that is losing ground to Google, Meta, and Amazon's own ad platforms. If the buyout falls apart, watch whether Criteo's profit per ad keeps dropping or if major retail customers start leaving; either would kill any hope of the stock price recovering on its own.

Why
01
AI pressure: Google Performance Max, Meta Advantage+, ChatGPT agentic shopping. Automated ad buying and AI shopping agents replace third-party retargeting, cutting into 85% of Criteo's revenue. Could AI do the core job? Only partly.
02
Bigger players: Amazon Ads, Google, Meta. Amazon, Google and Meta run ad auctions in-house, squeezing out the middleman that Criteo has been for retailers. Could a giant copy it? Probably.
03
What protects it. Criteo brokers retail-media deals for retailers who don't want to hand data to Amazon, a role big platforms can't fill.

Whether Contribution ex-TAC posts two straight quarterly gains in Performance Media (not just Retail Media). Would show the legacy 85% of revenue has stopped shrinking, reversing the core decline.
Outcome of the Vista/Quinti take-private bid reported July 6, 2026. Would show whether Criteo exits as a private company via cash-out or remains public and exposed to standalone decline.
Q2 and Q3 2026 earnings results against guided Contribution ex-TAC of $260M to $264M. Would show whether the revenue decline is accelerating or stabilizing.

Yes on an adjusted basis: Q1 2026 net income was $9M with adjusted diluted EPS of $0.73, beating the $0.57 consensus estimate, reported May 6, 2026. Still, CRTO stock fell about 13% in premarket trading that day on weak guidance.
Is Criteo being bought out?
A take-private bid is pending. Vista Equity Partners and Quinti Capital submitted an unsolicited offer at over 50% premium (implying over $50/share) on July 6, 2026. As of that report Criteo's board had not publicly responded.

The Trade Desk is outgrowing Criteo sharply, posting $616M revenue up 25% YoY in Q1 2025 versus Criteo's declines. In retail media specifically, Amazon Ads holds roughly 69% of US retail-media spend as of mid 2026.
Could AI replace Criteo?
