The call

Epicor holds its installed base through switching costs and data lock-in, while NetSuite, Infor, and Microsoft compete for the next customer, not the current one.

Epicor sells accounting and operations software to about 23,000 small and mid-size manufacturers, distributors, and retailers. The company is hard to replace because switching costs are high (customers spend 5 to 18 months installing the system and get locked into their data), and Epicor's new artificial intelligence tools can learn from each customer's unique information in ways competitors cannot easily copy. However, Epicor cannot lock out new customers because NetSuite, Microsoft, and Infor ship competing products that work just as well, making it difficult to grow the customer base. The one thing that could change the picture is whether Epicor's new leadership team (starting June 2026) can win more customers against these rival software makers, or whether the current private owner sells the company instead.

Why
01
AI pressure: NetSuite, Infor, and Microsoft Dynamics agentic ERP features. Epicor feeds AI (Prism, Grow) with its own customer data, but rivals ship similar agentic features into the same accounts. Could AI do the core job? Unlikely.
02
Bigger players: Oracle NetSuite and Microsoft Dynamics 365 Business Central. Both are shipping cloud ERP with AI add-ons and courting the same mid-market manufacturing base Epicor depends on. Could a giant copy it? Probably.
03
What protects it. Long implementations (5 to 18 months) and 23,000 SMB customers running daily transactions inside Epicor's systems make switching costly.
What would change this call
Gartner's next Cloud ERP Magic Quadrant update (around October 2026) shows Epicor's ranking versus NetSuite and Infor. Would show whether Epicor is holding or losing ground against named peers.
Epicor completes a sale, IPO, or new ownership change beyond the CD&R/CVC structure within 12-36 months. Would confirm PE exit acceleration and possible shift in company priorities.
Executive turnover follows new CRO Rachel Barger's June 2026 hire, or visible sales cost cuts. Would indicate pre-exit restructuring or go-to-market struggles.
Key numbers
  • $1B+ ARR reached (Apr 2024)
  • 42% YoY cloud revenue growth (2023)
  • 23,000+ customers, 2.3M daily users (2024)
Named risks
  • PE ownership under CD&R since 2020 and CVC since October 2024 raises likelihood of near-term sale or IPO exit. Severity: medium
  • Agentic AI (Prism, Grow AI) executing real production transactions creates exposure to reliability or security incidents. Severity: medium
  • Peer cloud ERP vendors (NetSuite, Infor, Microsoft, Acumatica) actively contest new-customer acquisition, limiting growth beyond installed base. Severity: medium
  • New CRO appointment in June 2026 could precede further GTM restructuring or cost actions. Severity: low
  • Financial figures are largely vendor-disclosed with no independent audit since Epicor is private. Severity: low

Questions people ask
Is Epicor profitable in 2026?
Epicor is private and does not disclose GAAP profitability. It reported surpassing $1 billion in annual recurring revenue on April 8, 2024, with 42% year over year cloud growth, but no net income figures have been publicly disclosed since CD&R and CVC took joint control in October 2024.
Who owns Epicor?
Epicor is jointly controlled by private equity firms Clayton, Dubilier & Rice (CD&R) and CVC Capital Partners, after CVC acquired a significant stake alongside CD&R in a deal that closed October 30, 2024. CEO Steve Murphy was retained through the transition.
Could AI replace Epicor's ERP software?
Unlikely to replace it outright. Epicor is building agentic AI (Prism, Grow AI, both GA May 2025) directly into its ERP to automate workflows like order entry and RFQs, using proprietary transactional data from over 23,000 customers that generic AI models cannot replicate as of 2024.
Who is Epicor's biggest competitor?
Oracle NetSuite is cited as the dominant cloud-native mid-market ERP rival, while Infor is Epicor's closest head-to-head competitor in discrete manufacturing ERP as of a 2026 third-party comparison. Microsoft Dynamics 365 Business Central and Acumatica also compete directly in the mid-market.
Will Epicor go public (IPO)?
No IPO has been announced as of mid-2026. Epicor has been PE-owned since 2011 (Apax), passing to KKR in 2016, CD&R in 2020 for $4.7 billion, and to joint CD&R/CVC control in October 2024, a pattern that typically precedes an exit within a few years.
What is Epicor's revenue?
Epicor's own figures show it surpassed $1 billion in annual recurring revenue as of April 8, 2024, with a vendor-stated internal target of roughly $2.6 billion in total sales and $2 billion recurring revenue by around 2028.
