HashiCorp
Maker of Terraform and Vault, infrastructure automation tools, now an IBM unit.
HashiCorp still runs the default way companies script their cloud, but IBM's budget squeeze and a rising open fork are both pulling at that habit at once.
HashiCorp builds tools that help companies manage servers and applications across multiple cloud providers like Amazon Web Services and Microsoft Azure. The company has real advantages because customers get locked into its workflow and data storage system, which makes switching to competitors like OpenTofu or Pulumi hard. But OpenTofu is free and works almost exactly the same way, Pulumi is growing fast among smaller tech companies, and now that IBM owns HashiCorp, many of its top leaders have quit, the parent company had a huge stock crash, and nobody knows if IBM will let it stay independent or fold it into their other products.
IBM's July 22, 2026 Q2 earnings call commentary on HashiCorp segment revenue, NDR, and headcount. reveals whether IBM is still investing in HashiCorp or scaling it back post-crash.
Departure of HashiCorp co-founder and CTO Armon Dadgar or other senior technical leaders. would signal deeper instability from IBM integration beyond the CEO and CMO exits already seen.
- OpenTofu adoption reached about 12 percent
- Net dollar retention fell from 124 percent to 110 percent
- Headcount down 9.5 to 20.6 percent year over year
- OpenTofu adoption crossing enterprise-scale share and eroding Terraform lock-in.
- IBM parent-level stock crash (-25%, July 14, 2026) could trigger cost-cutting into HashiCorp unit.
- Executive exodus (CEO, CMO, WW Field Ops president) signals integration instability.
- Pre-acquisition NDR decline from 124% to 110% signals customer expansion softness.
- CDKTF archival and free-tier deprecation pushing developers toward Pulumi and OpenTofu.
| Rival | Direction | Evidence |
|---|---|---|
| OpenTofu | gaining on | CNCF Sandbox fork reached ~12% global adoption by April 2026 after HashiCorp's 2023 BSL relicense |
| Pulumi | gaining on | ~45% YoY growth among developer-centric orgs as of June 2026, drawing users after CDKTF archival Dec 2025 |
| Crossplane | contesting | Kubernetes-native infrastructure orchestration pulling K8s-first platform teams from Terraform |
| AWS, Azure, Google Cloud native tooling | contesting | Native provisioning and secrets tools reduce case for standalone Terraform/Vault, ongoing through 2026 |
| Encore, SST (infrastructure-from-code) | contesting | 2026 buyer's guides cite these as long-term paradigm threats to the IaC layer itself |
- Is HashiCorp still an independent public company?
- No. IBM completed its acquisition of HashiCorp on February 27, 2025, for $35.00 per share cash, an enterprise value of $6.4 billion. HashiCorp delisted from Nasdaq (ticker HCP) and now operates as an IBM subsidiary, no longer filing separate financial reports.
- Is HashiCorp profitable?
- HashiCorp's last standalone fiscal year (FY2024, ended January 31, 2024) posted a net loss of $190.7 million on $583 million revenue. Since the February 2025 IBM acquisition it no longer reports standalone profit, but IBM's April 22, 2026 call cited over $200 million in new incremental ARR and EBITDA accretion ahead of plan.
- Could AI replace Terraform or HashiCorp's tools?
- AI coding agents can generate HCL modules and policy rules, and 'infrastructure-from-code' tools like Encore aim to remove the IaC layer entirely. HashiCorp is responding by building AI-agent features into its own products, shipping Vault agentic IAM on May 12, 2026 and tfpolicy with an AI-agent skill on July 20, 2026.
- Who is HashiCorp's biggest competitor?
- OpenTofu, a CNCF-governed, drop-in-compatible open source fork of Terraform created after HashiCorp's August 2023 Business Source License relicense, had reached roughly 12% global adoption by April 2026. Pulumi, a general-purpose-language IaC rival, was growing about 45% year-over-year among developer-centric orgs as of June 2026.
- Did HashiCorp have layoffs?
- HashiCorp cut 8% of staff in June 2023, before the IBM deal. Post-acquisition headcount has continued shrinking under IBM ownership, with Revelio Labs reporting a 20.6% drop to about 1,931 employees by December 2025, even as job postings reportedly rose 16.5% in 2025.
- What happened to HashiCorp's CEO?
- David McJannet departed around the one-year mark of IBM's integration, roughly February 2026, following the February 27, 2025 acquisition close. Co-founder Armon Dadgar has remained with the combined company and appeared at IBM Think 2025.
