The call

LanzaTech's fermentation technology works and is patented, but its survival now hinges on financing megaprojects like Dragon II before cash runs out.

LanzaTech captures carbon emissions and converts them into jet fuel using specially designed microbes, a process that has taken 15+ years to develop and is backed by hundreds of patents. The technology itself is hard to copy because the company has spent years perfecting which microbes work best, has government certification that proves the fuel works, and has signed long-term deals with major industrial partners that would be expensive for competitors to replicate. However, LanzaTech is nearly out of money. The stock has lost 97% of its value since going public, and the company has had to raise cash four times in one year just to survive, which means shareholders keep getting diluted. The one thing that could save the company is if two major projects get their financing approved: a big plant in the UK and a European grant of around 40 million euros. If these deals don't close by mid-2027, LanzaTech will likely run out of cash before its factories can start producing fuel and making money from sales.

Why
01
AI pressure: None apparent. AI does not directly compete in gas fermentation biotech; it may later speed strain design work LanzaTech itself does. Could AI do the core job? Unlikely.
02
Bigger players: Big oil and chemical majors building their own SAF and carbon-capture units. Shell, ExxonMobil and others are funding in-house SAF and carbon capture projects that could sideline smaller partners like LanzaTech. Could a giant copy it? No, they are blocked.
03
What protects it. 208 patents, 15+ years of proprietary microbial strains, ASTM-certified SAF process, and locked-in industrial partnerships.
What would change this call
LanzaTech's Q2 2026 earnings release on Aug 14, 2026 shows cash balance and burn rate. Would show whether dilution treadmill and going-concern risk are easing or worsening.
Dragon II (UK) reaches or misses financial close with EU Innovation Fund grant by H2 2027. Would show whether the flagship SAF project and 2030 timeline stay viable or slip.
Nasdaq market cap stays below threshold for 30+ consecutive days. Would show whether delisting risk materializes, signaling deeper investor confidence loss.

Named risks
  • Going-concern doubt flagged in Q1 2025 filings amid persistent net losses. Severity: high
  • Dilution treadmill: four capital raises totaling ~$110M in 12 months against a ~$65M market cap. Severity: high
  • New Nasdaq microcap rule (July 2026) could trigger delisting if market cap falls under $5M for 30 days. Severity: medium
  • Flagship megaprojects (Dragon II UK, Ghent) depend on financial close and EU €40M grant still pending as of Jan 2026. Severity: medium
  • Fluctuating LanzaJet ownership stake (37%-53%-46% across 2024-2026) creates consolidated financial uncertainty. Severity: low

Questions people ask
Is LanzaTech profitable in 2026?
No. LanzaTech posted a FY2025 net loss of $49.0M (as of 2025-12-31). Revenue is growing, Q1 2026 revenue hit $12.0M versus $9.5M a year earlier, but the company remains unprofitable and had flagged going-concern doubt in Q1 2025 filings.
Did LanzaTech have layoffs?
Yes. LanzaTech filed a 44-person layoff with Illinois in May 2025, effective June 1, 2025, and halved its Skokie office footprint. Overall headcount fell from about 390 employees in FY2022 to about 192 by FY2025, roughly a 50% reduction.
Is LanzaTech at risk of being delisted from Nasdaq?
A new Nasdaq rule approved in July 2026 triggers near-automatic delisting for stocks under $5M market cap for 30 straight days. LanzaTech's market cap was $63-75M on 2026-07-24, above the threshold but the stock has traded as low as $5.02-5.69 per share, so volatility is a live risk.
Who owns LanzaTech?
LanzaTech Global, Inc. (NASDAQ: LNZA) is public, having merged with SPAC AMCI Acquisition Corp. II and begun trading Feb 10, 2023 at a combined valuation of about $2.2 billion. Early backers included Novo Holdings, Khosla Ventures, Qiming Venture Partners, NZ Superannuation Fund, Mitsui, ArcelorMittal, BASF, and Trafigura.
Could AI replace LanzaTech's business?
Unlikely. LanzaTech's value rests on 208 filed patents (as of 2026-02-22), a 15+ year microbial strain library, physical ASTM-certified SAF plants, and regulated industrial partnerships. AI can assist strain design but cannot build, permit, or certify fermentation plants.
Who is LanzaTech's biggest competitor?
Twelve, an electrochemical CO2-conversion company, is the closest technology peer; the two firms partnered on polypropylene production starting September 2021 and now compete for the same decarbonization capital and offtake pool as of 2026.
