The call

Matter Labs lost the public rollup race to Arbitrum and Base and is now betting the whole company on banks actually using Prividium starting Q3 2026.

Matter Labs built zkSync Era, a faster and cheaper blockchain layer that sits on top of Ethereum, but it attracted far less customer money ($400-570 million) compared to rivals like Arbitrum ($16.6 billion), and that gap has been shrinking since late 2025. The company is now betting its survival on Prividium, a new product aimed at banks that want to move money faster using blockchain, but it has not actually launched yet and won't until mid-2026 at the earliest. If Prividium launches successfully and multiple banks adopt it and move real deposits through it, Matter Labs could become valuable in an entirely different market than the one it lost. If the launch delays, fails to attract banks, or if a partner backs out, the company will likely run out of options and either be sold for spare parts or dissolve.

Why
01
AI pressure: None apparent. AI models don't generate zero-knowledge proofs or replace interbank settlement rails; this fight is crypto infrastructure versus crypto infrastructure. Could AI do the core job? Only partly.
02
Bigger players: Arbitrum, Base/Optimism on the retail side; JPMorgan Onyx, Swift, and Circle/Tether on the enterprise side. ZKsync Era's TVL sits near $400-570M against Arbitrum's $16.6B, and bridge usage fell to about 14 users a week by mid 2026. Could a giant copy it? Yes, easily.
03
What protects it. Real ZK cryptography plus signed bank partners, Cari Network and BitGo, give it a shot no rival retail rollup has: actual bank pipes.
What would change this call
Cari Network's Q3 2026 go-live with real interbank tokenized-deposit volume. Shows whether the Prividium enterprise pivot is real revenue or still just a roadmap bet.
A second bank consortium signs onto Prividium within two quarters of Cari's launch. Would show Prividium is repeatable beyond one anchor client, not a one-off deal.
A third layoff round or further headcount drop below the 136 reported in July 2026. Would signal cash pressure and fading confidence in the enterprise pivot's runway.
Key numbers
  • ZKsync Era TVL about $404M vs Arbitrum $16.6B (2026-02-01)
  • Bridge activity down to 14 users, 5 ETH/week (2026-06-01)
  • Second layoff round announced after Prividium pivot (2026-06-16)
Named risks
  • Entire strategic pivot rests on unshipped Cari Network Q3 2026 launch. Severity: high
  • Two layoff rounds in under two years signal financial and strategic instability. Severity: high
  • BANKEX lawsuit alleging misappropriated Plasma IP and staff poaching, filed April 2025. Severity: medium
  • ZK token holders described as in an 'information vacuum' over token's future role. Severity: medium
  • April 2025 airdrop exploit shows recurring smart-contract security exposure. Severity: medium

Questions people ask
Is Matter Labs (zkSync) profitable in 2026?
Matter Labs discloses no traditional revenue. It relies on network fees, ecosystem-fund investments and ZK token economics. In June 2026 it announced a second layoff round tied to a full pivot to Prividium, an enterprise product with no disclosed revenue yet.
Is zkSync losing to Arbitrum?
Yes. By February 2026, L2BEAT put zkSync Era's TVS around $404M versus Arbitrum's roughly $16.6 to $16.7 billion TVL, per blockeden.xyz. Optimism held about $6 billion in the same period, leaving zkSync far behind both optimistic-rollup incumbents.
Who owns Matter Labs and is it publicly traded?
Matter Labs is privately held and VC-backed, not publicly traded. It raised roughly $458 million cumulatively through a $200M Series C in November 2022 co-led by Blockchain Capital and Dragonfly Capital, per the company's own blog post.
Could AI replace Matter Labs' engineers?
Unlikely for core work. ZK-proving cryptography and protocol engineering are specialized and not easily automated by frontier AI, though AI coding tools could reduce future headcount needs over time. No direct AI-replacement threat to Matter Labs has been documented as of mid-2026.
What is Cari Network and why does it matter for zkSync?
Cari Network is a consortium of five to six U.S. regional banks holding over $600 billion in combined deposits building tokenized-deposit infrastructure on Matter Labs' Prividium, targeting a Q3 2026 launch, per cointelegraph.com, March 17, 2026.
Who is Matter Labs' biggest competitor?
In public L2s, Arbitrum and Optimism dominate with far larger TVL. In its new institutional pivot, Matter Labs faces JPMorgan's Kinexys blockchain rails, Swift's 17-bank ledger pilot, and stablecoin issuers Circle and Tether, per March and June 2026 reporting.
