The call

Razorpay's core payments unit is profitable and licensed, but UPI zero-fee rules and rivals like PhonePe and Pine Labs are squeezing its margins.

Razorpay processes payments for 12 million merchants in India and holds three official licenses from the central bank to handle online, offline, and cross-border transactions. It is hard to replace because those licenses are limited and PhonePe, Pine Labs, and PayU have to compete for the same business, but they are all licensed too and all offering similar services at lower and lower prices. The real question is whether Razorpay can make money on services beyond payments (like payroll and lending through RazorpayX) before the core payment business squeezes its profits to nothing.

Why
01
AI pressure: Pine Labs (OpenAI-integrated agentic checkout). Pine Labs paired with OpenAI for agentic checkout, racing Razorpay's own NPCI-OpenAI pilot for the same merchant volume. Could AI do the core job? Unlikely.
02
Bigger players: PhonePe (Walmart-backed). PhonePe, backed by Walmart, runs a live merchant payment-aggregator push in the same online-checkout market Razorpay leads. Could a giant copy it? Probably.
03
What protects it. Three RBI aggregator licences, 12 million merchants, and deep checkout code integrations make switching costly for merchants.
What would change this call
Razorpay's IPO prospectus discloses core payments EBITDA figure and margin trend. Confirms or contradicts claimed core profitability amid UPI zero-MDR pressure.
Pine Labs reports post-listing merchant-PA volume growth or OpenAI-linked traction. Would show a rival converting AI-payments partnership into real merchant share.
PhonePe announces expanded merchant-PA licence rollout or online-PA volume milestone. Would indicate Walmart-backed rival directly eroding Razorpay's co-leader position.

Questions people ask
Is Razorpay profitable in 2026?
Razorpay posted a FY25 net loss of Rs 1,209 crore (year ended March 2025), driven by ESOP expenses and a ~$150 million reverse-flip tax cost. However, CEO Harshil Mathur says the core online-payments business is EBITDA-profitable, with the loss stemming from one-off restructuring charges, not operations.
Is Razorpay going public?
Yes. Razorpay confidentially filed a draft red herring prospectus (DRHP) with India's SEBI on June 12, 2026, targeting a raise of roughly Rs 5,000-6,000 crore (~$500-700 million) at a $5-6 billion valuation, down from its $7.5 billion December 2021 Series F valuation.
Who owns Razorpay?
Razorpay is privately held (VC-backed), pursuing an IPO. Key investors include Peak XV Partners, Tiger Global, Lightspeed, Ribbit Capital, TCV, Matrix Partners, GIC, Y Combinator, and Mastercard. Total funding raised is approximately $741-830 million across multiple rounds as of June 2026.
Who is Razorpay's biggest competitor?
In India's payment-aggregator market, Razorpay's closest rivals are Walmart-backed PhonePe and Pine Labs, which listed on the NSE and partnered with OpenAI in February 2026. Other direct competitors include Cashfree, PayU, BillDesk, and Paytm, all holding comparable RBI licenses.
Could AI replace Razorpay?
Unlikely to disintermediate it outright: Razorpay integrated payments into OpenAI's Codex via an MCP Server and shipped a ChatGPT app for payment management on April 6, 2026, positioning itself as the regulated settlement rail underneath AI agents rather than a workflow AI would bypass.
How much funding has Razorpay raised, and what is it worth?
Razorpay has raised approximately $741-830 million across multiple rounds as of mid-2026, per CB Insights. Its last private valuation was $7.5 billion in a December 2021 Series F round; its 2026 IPO target valuation is $5-6 billion.
