Relativity
E-discovery platform running litigation data for Am Law 200 firms and the DOJ.
Relativity stays the default e-discovery system for big law firms while it carries new debt and prepares an IPO under AI pricing pressure.
Relativity is the go-to software that law firms and the government use to organize and search through massive amounts of documents in lawsuits, a job that involves millions of files and strict record-keeping rules. It is hard to replace because lawyers have spent years building cases inside it, courts trust its chain of custody records, and switching would mean starting over on active cases, but Microsoft's e-discovery tools and AI models like ChatGPT could eventually do parts of this work and Microsoft can bundle them into Office 365 at no extra cost. The real question is whether Relativity can keep making money when it gives away AI features for free to stay competitive, especially since it just borrowed close to a billion dollars and is planning to go public.
Relativity's IPO priced or withdrawn, and post-filing financials show AI-inference costs versus margins. Would show whether bundled AI pricing is eroding unit economics as feared.
A major Am Law 200 firm publicly switches its e-discovery platform to Everlaw or DISCO. Would show price-plus-AI competitors converting Relativity's flagship customers.
- Used by 198 of the Am Law 200 firms
- $720-920M debt refinancing led by JPMorgan
- Confidential IPO S-1 filed with SEC
- Margin compression from bundling AI at no extra metered charge amid sector-wide pricing war with Everlaw.
- $720-920M debt load ahead of uncertain IPO timeline.
- IPO pricing/listing date remains undetermined as of July 2026 amid legaltech IPO drought since 2021.
- Integration execution risk on newly closed Gavel acquisition into Word/RelativityOne workflows.
- Leadership transition with Chris Brown's July 2026 promotion to President during IPO prep.
| Rival | Direction | Evidence |
|---|---|---|
| Microsoft (Purview eDiscovery) | contesting | Purview built for internal-tenant investigations, not court-defensible external productions, per Feb 2026 analysis |
| Everlaw | contesting | Relativity's Oct 2025 free AI bundling pressured Everlaw to make its AI assistant free by April 2026 |
| DISCO (CS Disco) | contesting | Smaller-scale rival lacking Relativity's enterprise depth, per June 18, 2026 analysis |
| Reveal | contesting | Named among top three deepest e-discovery ecosystems alongside Everlaw and Relativity, Nov 2025 roundup |
| Anthropic (Claude) | gaining on | Relativity integrated Claude Enterprise/MCP in May 2026, framing frontier models as ingredient not replacement |
- Is Relativity profitable and going public?
- Relativity confidentially filed a draft S-1 with the SEC on March 19, 2026, the first legaltech IPO attempt since 2021. Reports suggest a raise near $750M at a roughly $4 billion valuation, but as of July 2026 no pricing date or profitability figures have been disclosed.
- Could AI replace Relativity's e-discovery platform?
- Unlikely soon. Relativity serves about 198-199 of the Am Law 200 and the DOJ with court-defensible chain-of-custody workflows. It is absorbing AI (Claude/MCP integration, aiR suite bundled free as of July 2026) as a feature rather than being displaced by frontier models.
- Who owns Relativity?
- Relativity is privately held, with Silver Lake as largest shareholder since a March 2021 growth investment valuing the company at $3.5-3.6 billion; ICONIQ Growth, New Mountain Capital, and Permira also hold stakes, per Lawnext, March 23, 2026.
- How much debt does Relativity carry ahead of its IPO?
- In January 2026 Relativity completed a refinancing of roughly $720-920 million led by JPMorgan Chase, shifting from private credit to the leveraged loan market ahead of its confidentially filed IPO, per a May 25, 2026 Clay dossier.
- Is Relativity losing customers to Everlaw or DISCO?
- No public Am Law 200 defection has been reported. Relativity's October 2025 move to bundle AI features at no extra metered cost pressured rival Everlaw to make its AI assistant free, indicating competitive pricing pressure rather than logo loss as of April 2026.
- What is Relativity's biggest competitive threat?
- Microsoft's Purview eDiscovery is the named incumbent threat, but it is architecturally built for internal-tenant investigations, not court-defensible external productions, per Microsoft's own documentation from February 2025 and February 2026 analysis.
