The call

SEGRO's warehouses and data-centre land are valuable enough that Prologis wants to own them outright, not compete against them.

Segro owns industrial buildings and land in Europe and Asia that companies rent to store goods and run operations. It is genuinely hard to copy because the company controls scarce warehouse space in prime locations with reliable power and government permits already in place, which took years to assemble. That is why Prologis, the world's biggest warehouse landlord, is paying 39 percent extra to buy Segro rather than build its own facilities from scratch. However, Segro as an independent company will cease to exist soon: the board has already recommended the takeover, the deal must close by August 12, 2026, and no competing buyer has stepped forward to block it. The one thing that could change this picture is if another investor, like Palliser Capital (which publicly supports the deal), or a rival firm submits a competing offer before the deadline.

Why
01
AI pressure: None apparent. AI-driven data-centre demand feeds SEGRO's Pure DC joint venture rather than threatening its core leasing business. Could AI do the core job? Unlikely.
02
Bigger players: Prologis. Prologis made a best-and-final 14bn pound offer on July 22, 2026; SEGRO's board will recommend it if formally filed. Could a giant copy it? No, they are blocked.
03
What protects it. Only a rival bidder topping the offer or Prologis walking by the Takeover Panel deadline would keep SEGRO independent.
What would change this call
Whether Prologis files a firm offer by the August 12, 2026 Takeover Panel deadline or walks away. Shows if SEGRO's independent existence ends via acquisition or continues.
Whether any rival bidder emerges to top Prologis's 'final unless topped' offer before the deadline. Would indicate other REITs value SEGRO's assets above Prologis's price.
SEGRO shareholder vote outcome if a firm offer is filed, expected around Sept-Oct 2026. Confirms whether owners approve the takeover terms.

Questions people ask
Is SEGRO being acquired by Prologis?
Yes. On 2026-07-22 Prologis made a best-and-final £14bn ($18.7bn) offer for SEGRO, valuing it at 1,031.7p per share, and SEGRO's board said it would recommend the offer. The UK Takeover Panel deadline for Prologis to file a firm offer or walk away is 2026-08-12.
Who owns SEGRO plc?
SEGRO is a publicly listed, widely-held UK REIT with no controlling parent, traded on the LSE as SGRO. As of 2026-07-22 it is subject to a £14bn recommended takeover approach from Prologis, the world's largest industrial REIT, pending a firm offer by 2026-08-12.
Is SEGRO profitable?
Yes. For the year ended 2025-12-31, SEGRO reported revenue of £726m, operating income of £663m and net income of £551m, with adjusted EPS of 36.6p, up 6.1% year on year, according to its FY25 results.
Could AI replace SEGRO's business?
No. SEGRO's core business is owning and leasing physical warehouses, industrial land and data-centre shells, a workflow AI cannot substitute. AI instead drives demand for its assets, evidenced by its data-centre power bank reaching 3.0GVA as of 2026-07-22 for cloud and inference infrastructure.
Who is SEGRO's biggest competitor?
Prologis, the world's largest industrial REIT with roughly $141bn market cap as of 2026-07-22, is SEGRO's dominant rival, and is now moving to acquire it via a £14bn offer rather than compete for the same land and power positions.
How much is Prologis paying for SEGRO?
Prologis's best-and-final offer, announced 2026-07-22, is £14bn ($18.7bn), structured as 0.092 new Prologis shares per SEGRO share plus a cash alternative capped at £3.5bn (25%), valuing SEGRO at 1,031.7p per share, a roughly 39% premium.
