The call

Semrush sits inside Adobe now, with its SEO business slowing as AI search changes traffic patterns and its own AI-visibility product still small.

Semrush helps companies figure out how often people search for their products and how to rank higher in search results. The main threat is Google's new AI answers, which show results directly to users without making them click through to websites, so companies need fewer SEO tools like Semrush's. Semrush is trying to pivot to selling tools that help companies track visibility in AI search results, but that business is still tiny (8 percent of total revenue). The big question is whether this new AI business grows fast enough to replace the search business that Google is slowly killing, and whether Adobe (which now owns Semrush) will actually invest in it or let it fade like some of Adobe's past acquisitions.

Why
01
AI pressure: Google AI Overviews and AI Mode. AI Overviews cut organic clicks in search results, and Semrush's own data shows traffic falling in 13 of 17 industries. Could AI do the core job? Only partly.
02
Bigger players: Adobe (parent company). Adobe closed the buyout in April 2026 but has kept headcount flat, raising the question of investment versus a slow Magento-style fade. Could a giant copy it? Probably.
03
What protects it. 28 million registered users and enterprise workflow lock-in, now backed by Adobe's distribution and sales reach.
What would change this call
Adobe's first earnings call breaking out Semrush ARR contribution. Shows whether Adobe treats Semrush as growth priority or slow-line item.
Semrush headcount and hiring pace over next 2-3 quarters. Flat or shrinking headcount would signal Magento-style deprioritization.
Semrush's dollar-based net revenue retention in next two quarterly reports. A drop below 102% would indicate customer contraction tied to AI search shift.

  • Google AI Overviews/AI Mode eroding organic search demand that underpins core SEO product value. Severity: high
  • Loss of standalone public reporting after April 2026 delisting reduces external visibility into performance. Severity: medium

  • EU regulatory probe into Google AI Overviews (opened Dec 2025) creates uncertain competitive landscape. Severity: low

Questions people ask
Is Semrush still a publicly traded company?
No. Adobe completed its all-cash acquisition of Semrush on April 28, 2026, at $12.00/share (~$1.9B total), and Semrush's shares were delisted from the NYSE; it is now a wholly-owned Adobe subsidiary with no independent public equity.
Is Semrush profitable?
Semrush's core SEO business is decelerating, with FY2025 revenue of $443.6M growing 18% YoY, down from 22% in FY2024, and net revenue retention slipping to just 104% as of December 31, 2025, per its own Q4 2025 results release.
Who owns Semrush now?
Adobe Inc. owns Semrush outright. The acquisition closed April 28, 2026, following HSR clearance in January 2026, shareholder approval in February 2026, and Australian ACCC approval on April 10, 2026, per Adobe's own announcement.
Could AI replace Semrush's core product?
Semrush's own research found organic search traffic declining in 13 of 17 industries studied as of April 27, 2026, as Google AI Overviews and AI Mode reshape search; Semrush is countering with its Semrush One AI-visibility platform, launched Q4 2025, which reached only about $38M of its $471.4M total ARR by end of 2025.
Is Semrush laying off employees or freezing hiring?
Semrush's own filings show headcount essentially flat at 1,567 employees as of December 31, 2025, up just 0.38% (6 people) year over year, and Builtin.com reported a hiring pause tied to the Adobe acquisition as of April 23, 2026.
What is Semrush's biggest competitive threat?
The main threat named in Semrush's own analysis is Google itself: AI Overviews and AI Mode are eroding organic search click-through, the core demand driver for Semrush's SEO tools, with Semrush's own study showing traffic declines across most industries as of April 27, 2026.
