The call

Toon Boom's real risk isn't a smarter AI model, it's a private equity owner running the clock toward a resale or recap in the next few years.

Toon Boom sells the main software that professional animation studios use to make cartoons and TV shows frame by frame. It is hard to replace because studios train their entire teams on it, their files only work in Toon Boom, and bigger rivals like Adobe have had 30 years to build something better but haven't. The one thing that could change this is if artificial intelligence tools get good enough to let animators skip Toon Boom's software entirely, or if the company's private owners decide to sell it off in the next few years and the new owner strips it down for profit instead of building it up.

Why
01
AI pressure: Generative video tools like Sora, Runway, and Kling. These tools can generate short clips but can't hold a character consistent across episodes, so studios still need Harmony for real production. Could AI do the core job? Only partly.
02
Bigger players: Adobe (Animate, Character Animator, After Effects). Adobe has had 30 years to build a rival TV animation pipeline and hasn't, likely because the market is too small for its P&L. Could a giant copy it? Probably.
03
What protects it. Studios have trained staff and years of files built on Toon Boom's format, so switching means retraining teams and rebuilding pipelines.
What would change this call
A major studio (Disney, Fox, Toei) publicly adopts a non-Toon Boom generative or hybrid AI animation tool. Would show generative AI moving up-market into professional studio work Toon Boom currently owns.
Adobe ships a dedicated professional 2D-TV animation pipeline product. Would show the 30-year incumbent barrier against Adobe finally breaking.
Banker mandate, executive departure, or margin-focus announcement at Toon Boom or IMC/TPG. Would signal the 2027-2029 PE resale window is starting to open.

  • PE resale or recapitalization by TPG/IMC likely in 2027 to 2029 window could cut R&D or product cadence. Severity: high
  • Generative AI moving up-market from hobbyist tier into professional studio work over time. Severity: medium
  • Artist or union backlash against Ember AI integration given industry sensitivity to AI displacement. Severity: medium
  • No audited public financials exist, making revenue and valuation figures unreliable third-party estimates. Severity: low
  • Flat headcount growth (0% YoY as of June 2026) signals mature, non-expanding operations. Severity: medium
