The call

VillageMD sits inside a formal wind-down, closing clinics and losing ground to Optum and CVS while its owners try to find a buyer.

VillageMD runs doctor's offices, many inside Walgreens stores, that were supposed to save money by managing patient care instead of just treating sick people. It never figured out how to do this profitably, and its former owner has already written off about $10 billion, closed nearly a quarter of its clinics, and is now selling off what's left. Bigger health companies like UnitedHealth's Optum and CVS Health built similar chains that work better, so VillageMD never had an advantage that was hard to copy. The one thing that could matter is whether the new owner of Walgreens keeps letting VillageMD clinics operate inside stores, but that looks unlikely.

Why
01
AI pressure: None apparent. AI scribing tools like Abridge cut costs slightly, but debt and closures are killing this company, not AI. Could AI do the core job? Only partly.
02
Bigger players: UnitedHealth/Optum (WellMed) and CVS Health (Oak Street Health). Bigger payer-owned primary care rivals keep taking patients while VillageMD closes clinics and shrinks revenue. Could a giant copy it? Yes, easily.
03
What protects it. None apparent: the equity looks wiped out by $3.4B in 19% PIK debt sitting ahead of it in the capital structure.

Questions people ask
Is VillageMD profitable in 2026?
No. VillageMD has never shown profitable unit economics; Walgreens recorded a $5.8 billion impairment tied to VillageMD in Q2 FY2024 and a further $4.2 billion write-down in Q2 FY2025, with VillageMD sales down 6.2% year over year as of Q2 2025.
Who owns VillageMD now?
VillageMD became a standalone company on August 28, 2025 when Sycamore Partners closed its $23.7 billion acquisition of Walgreens Boots Alliance, splitting the group into five separate businesses including VillageMD, now overseen by a Divested Assets Committee tasked with selling or winding it down.
Is VillageMD shutting down clinics?
Yes. VillageMD announced closure of roughly 160 clinics, about 24% of its footprint, starting in 2024, and has exited Indiana, Illinois, Florida, Massachusetts and Las Vegas markets through 2025, with 32 Texas clinics sold by March 2026.
Who is VillageMD's biggest competitor?
VillageMD competes against vertically integrated payer-provider rivals CVS Health (owner of Oak Street Health) and UnitedHealth/Optum (owner of WellMed), both larger and better capitalized in the same value-based primary care market VillageMD targeted.
Could AI replace VillageMD's clinics?
Unlikely to replace the clinics themselves, since physical locations, payer risk contracts and licensed physicians are not AI-replaceable, but ambient AI scribing tools already used at about two-thirds of Epic hospitals as of mid-2025 could reduce VillageMD's documentation costs if adopted, though no evidence of VillageMD adoption was found as of July 2026.
Has VillageMD been sold?
No confirmed sale had closed as of the most recent reporting in mid-2026; VillageMD remains under the Divested Assets Committee's monetization process following the August 28, 2025 Sycamore Partners spinoff, with no independent buyer publicly confirmed.
