The call

Behavox sits inside bank compliance workflows that are hard to rip out, with the real contest being NICE Actimize's distribution against Behavox's newer AI-native product.

Behavox makes software that monitors employee communications and trading activity for large financial firms, helping them catch fraud and rule-breaking. It is hard to replace because banks have locked it into their core systems and switching would be expensive and risky, but it is not hard for a bigger company to copy, especially NICE Actimize (the current market leader in this space) which already sells similar products to the same banks. The one thing that could change the picture is whether NICE Actimize or another large vendor builds a newer, smarter version of surveillance software using artificial intelligence and starts winning deals away from Behavox at major banks, which would shrink Behavox's customer base and growth.

Why
01
AI pressure: General-purpose LLMs (OpenAI, Google, Anthropic). Frontier models lack bank-grade compliance liability cover and proprietary financial-comms data, so Behavox's own AI still runs the surveillance work. Could AI do the core job? Unlikely.
02
Bigger players: NICE Actimize. Analyst-ranked leader with deep G-SIB relationships, but has not yet shipped an AI-native surveillance product to match Behavox's Quantum AI. Could a giant copy it? Probably.
03
What protects it. Ten G-SIB banks run their compliance record-keeping through Behavox's system, and ripping that out means re-certifying audit trails with regulators.
What would change this call
NICE Actimize ships an AI-native surveillance product and announces G-SIB customer wins. Would show the larger incumbent closing the AI gap and threatening Behavox's growth.
Behavox completes or announces new acquisitions using the $175M raise proceeds. Would show whether integration risk (as with Mosaic, b-next) is expanding or being managed.
Polaris prediction-markets product reaches general availability in summer 2026. Would test whether the >80% pipeline growth claim converts into real deployed customers.
Key numbers
  • 10 of 24 G-SIBs are customers (2026-02-25)
  • First net profit, $2.5M FY2024 (2025-04-15)
  • $175M raised from HPS/BlackRock (2026-06-17)
Named risks
  • True company revenue is undisclosed; third-party estimates range from ~$26M to $50M+, creating valuation uncertainty. Severity: high
  • Integration execution risk on Mosaic Smart Data and b-next post-M&A, and future 'disciplined M&A' funded by $175M raise. Severity: medium
  • NICE Actimize or Smarsh could ship a credible AI-native surveillance product and use existing distribution to win G-SIB deals. Severity: medium
  • Conflicting valuation trackers ($200M historic vs ~$500M current estimate) complicate return expectations for investors. Severity: medium
  • Data-quality inconsistency in public sourcing, e.g. one low-quality source misattributed the CEO role. Severity: low

Questions people ask
Is Behavox profitable in 2026?
Yes. Behavox has been profitable since 2023 and reported its first audited bottom-line net profit of $2.5 million for FY2024, published April 15, 2025. It also reported ARR growth above 30% in 2025, suggesting profitable growth has continued into 2026.
Who owns Behavox?
Behavox is privately held. Its cap table includes SoftBank Vision Fund 2 ($100M invested in 2020), Citigroup, Index Ventures, and Hoxton Ventures. On June 17, 2026, HPS Investment Partners, BlackRock's credit arm, closed a $175 million preferred-equity investment, its first equity raise since SoftBank in 2020.
Could AI replace Behavox's compliance software?
Unlikely soon. Behavox's moat rests on regulatory certification, audit-trail integration at 10 of 24 G-SIBs, and proprietary financial-communications training data that generic frontier LLMs (OpenAI, Google, Anthropic) lack access to, creating a compliance liability wall as of June 2026.
Who is Behavox's biggest competitor?
NICE Actimize (Nasdaq: NICE) is the dominant incumbent, ranked 'Overall Leader' in communications surveillance by Quadrant Knowledge in 2023. Other rivals include Smarsh, Global Relay, Shield, and Theta Lake, though as of 2026 none had shipped a comparable AI-native rival to Behavox's Quantum platform.
How many customers does Behavox have?
As of February 25, 2026, Behavox reported more than 100 major financial institutions as customers, an 86% increase in its 2025 customer base, including 10 of 24 Global Systemically Important Banks and 6 of the 10 largest Japanese financial conglomerates.
How much funding has Behavox raised?
Behavox closed a $175 million preferred-equity investment from HPS Investment Partners (BlackRock) on June 17, 2026, its first equity raise since a $100 million SoftBank Vision Fund 2 round in 2020. Proceeds partly repaid a $70 million Hercules Capital venture-debt facility from autumn 2024.
