The call

Digi keeps adding customers in Romania and Spain on its own networks, while the European Commission's review of Romanian wholesale price rules is the near-term item that could squeeze margins.

Digi Communications runs phone, internet, and TV services across Romania and Spain using cables and fiber it owns, earning €2.22 billion a year with fast growth. Rivals like Telefónica and Orange cannot easily copy this because they are stuck with old networks that lose money if they cut prices to match Digi, so Digi's owned infrastructure is genuinely hard to replace. The one thing that could change everything is a European regulator investigation starting now (February 2026) that may force Digi to charge much lower wholesale prices to competitors in Romania, which could shrink the company's profit margin by several percentage points over the next six months.

Why
01
AI pressure: None apparent. Digi buys AI for call-center and cybersecurity work; no AI product threatens its physical network business. Could AI do the core job? Unlikely.
02
Bigger players: Telefonica/Movistar, Orange, Vodafone. Rivals run competing fiber and mobile plans in Spain and Romania but can't match Digi's prices without gutting their own legacy ARPU. Could a giant copy it? No, they are blocked.
03
What protects it. It owns the fiber, cable, and spectrum it sells over, so rivals need new infrastructure, not just a cheaper price, to compete.
What would change this call
EC in-depth investigation into ANCOM's proposed Romanian wholesale price controls concludes (decision expected within ~6 months of Feb 2026). Would show whether Digi's Romanian home-market margins face regulatory compression.
Digi Spain reports Q2/H1 2026 revenue and portability/net-add figures. Would show whether Spain's growth momentum that offsets Romanian risk is sustained.
CJEU ruling in Case C-872/24 (Digi Romania v VK) is issued. Would show legal exposure on consumer/telecom code interpretation affecting Romanian operations.

Questions people ask
Is Digi Communications profitable in 2026?
Digi posted a group net loss of about €33 million for FY2025, versus a €530 million profit in 2024 that was inflated by a one-off Digi Spain FTTH network sale. Q1 2026 revenue grew ~10% YoY to about €582.6 million, per Digi's own preliminary results dated 2026-02-23.
Who owns Digi Communications?
Founder Zoltan Teszari controls Digi through a layered structure: he owns ~90% of RCS Management SA, which holds ~90.9% of voting rights in Digi Communications N.V., which owns ~93.58% of Digi Romania, as reported by democrata.es on 2026-07-23.
Could AI replace Digi Communications?
No. Digi's core business is owned fiber, cable and mobile network infrastructure, which AI software cannot replicate. Digi is instead an AI deployer, having been awarded a €196 million contract in June 2026 to build an LLM-based cybersecurity platform for Romania's intelligence service SRI.
Who is Digi Communications' biggest competitor in Spain?
Telefonica/Movistar, Orange Spain and Vodafone Spain compete against Digi in Spain, but Digi has been the country's top mobile portability winner for five consecutive years through 2025, gaining roughly 1 million net mobile lines that year, per romania-insider.com, 2026-01-09.
Is Digi Spain's IPO a sign of financial trouble?
No, it raised capital. Digi Spain Telecom completed its IPO on 16 July 2026 at €5.60 per share, valuing it at roughly €1.66 billion; shares popped about 7% to €6.00 on debut, and the offering raised roughly €287 million, per romania-insider.com and iberianlawyer.com.
What regulatory risk does Digi Communications face in Romania?
The European Commission opened a formal in-depth investigation on 4 February 2026 into ANCOM's proposal to reimpose ex-ante wholesale local-access price controls on Digi Romania as the significant-market-power operator, with a roughly six-month decision window, per the European Commission's own announcement.
