The call

Mercury sits inside the wiring of America's defense platforms, protected by clearance rules more than by any product edge, with margin recovery still the open question.

Mercury Systems makes computer parts that go inside military equipment used by the U.S. and allies. It is very hard to copy because the Pentagon only trusts a small number of approved manufacturers, Mercury has special security clearances and certifications that take years to get, and once the military picks Mercury for a big program it rarely switches. The one thing to watch is whether Mercury can actually make more profit from its work in the next couple of years, since the company is currently stuck with older, lower-profit contracts that run through 2027.

Why
01
AI pressure: None apparent. AI-at-the-edge is a buyer for Mercury's boards and modules, not a replacement for them; demand is rising, not shrinking. Could AI do the core job? Unlikely.
02
Bigger players: Curtiss-Wright. Curtiss-Wright sells competing rugged processing modules into the same defense primes and programs today. Could a giant copy it? No, they are blocked.
03
What protects it. DMEA trusted-foundry status, ITAR clearance, and DoD open-architecture (SOSA/OpenVPX) rules keep Mercury a required neutral supplier to RTX, Lockheed, and Northrop alike.
What would change this call
Curtiss-Wright announces a head-to-head program-of-record win over Mercury in an open-architecture bid. Would show a same-industry rival actively displacing Mercury on contracts.
Mercury's EBITDA margin fails to inflect toward low-to-mid-20s after FY27 legacy backlog burns off. Would show the turnaround stalling despite backlog and bookings growth.
DoD issues policy guidance rolling back SOSA/OpenVPX open-architecture mandates. Would show the regulatory moat protecting Mercury's neutral-merchant model weakening.
Key numbers
  • Backlog hit $1.6B, up 17.9% YoY (2026-05-05)
  • Q3 FY26 bookings $348M, up 73.7% YoY (2026-05-05)
  • RTX made up 13% of FY25 revenue (2025-06-27)
Named risks
  • Legacy low-margin backlog expected to drag EBITDA margin through FY2027 before inflecting to low-to-mid 20s target. Severity: high
  • Fiduciary duty investigation announced July 2026 could escalate into formal shareholder litigation. Severity: medium
  • Customer concentration with RTX at 13% of FY2025 revenue exposes Mercury to single-customer demand shifts. Severity: medium
  • Free cash flow volatility, negative $2M in Q3 FY26 versus positive $24M a year earlier. Severity: medium
  • Headcount declining (2,162 to 2,117 between June 2025 and March 2026) while revenue grows could strain execution capacity. Severity: low

Questions people ask
Is Mercury Systems profitable in 2026?
Mercury Systems reported Q3 FY26 revenue of $235.8M (period ended March 27, 2026), up 11.5% organically, with management guiding to mid-teens adjusted EBITDA margin for FY26. Free cash flow was negative $2M in Q3 FY26 versus positive $24M a year earlier, showing profitability is improving but cash generation remains uneven.
Who is Mercury Systems' biggest competitor?
Curtiss-Wright Corporation and Kratos Defense & Security Solutions are Mercury's closest rivals in rugged embedded defense electronics as of 2026. Curtiss-Wright expanded its data-acquisition and telemetry position via 2024 acquisitions, while Mercury remains the neutral merchant supplier across RTX, Lockheed, and Northrop programs.
Could AI replace Mercury Systems?
No. As of October 2025, Mercury's SpaceVPX boards use AMD Versal AI Core SoCs to power customers' AI/ML edge inference, positioning Mercury as an AI enabler rather than a target for AI disruption. Its moat rests on DoD trusted-foundry accreditation and ~30% cleared staff, which AI cannot replicate.
Is Mercury Systems laying off employees?
Headcount has been shrinking even as revenue grows: Mercury reported 2,162 employees at fiscal year-end June 2025, falling to 2,117 by March 27, 2026, a 3.77% year-over-year decline, according to stockanalysis.com data published July 2026.
Who owns Mercury Systems?
Mercury Systems is an independent Nasdaq-listed company (MRCY) with no parent, market cap roughly $6.4B as of July 24, 2026. Activist investor JANA Partners built a 6-8% stake starting December 2021 and won board seats, but sold about $41.4M of stock in early March 2026 while still holding roughly 4.1 million shares.
What is Mercury Systems' order backlog?
Mercury Systems reported a record backlog of approximately $1.6 billion as of May 5, 2026, up about 17.9% year-over-year, with $891M expected to convert to revenue within 12 months. Q3 FY26 bookings hit a record $348M, up 73.7% year-over-year, with a book-to-bill ratio of 1.48.
