The call

R1 is now a private, debt-loaded company racing to prove its own AI can outpace Waystar and Ensemble before hospitals switch or KLAS rankings shift further.

R1 RCM handles insurance claims, coding, and payment collection for 95 of the top 100 US health systems, doing about $2.1 billion in revenue yearly. The work it does, however, is exactly what AI software can now do faster and cheaper: companies like Waystar and Ensemble just launched AI tools that automate these tasks, and in 2026 Waystar was ranked the top billing software by industry reviewers. R1 is also now owned by a private investment firm and carries a lot of debt, which means its future depends on whether the owners can sell it profitably later, not just whether it keeps its customers happy. The one thing that could turn this around is if R1's own new AI software (called Phare OS) gets adopted quickly enough to match or beat what competitors are offering, but that has not happened yet.

Why
01
AI pressure: Waystar's AI-driven RCM suite and Ensemble Health's Cohere platform. Both automate coding, denials, and eligibility checks, the exact labor R1 sells as a service to hospitals. Could AI do the core job? Only partly.
02
Bigger players: Optum360 (UnitedHealth). Optum360 pairs a huge payer's own claims data with provider RCM work, a combination R1 cannot replicate. Could a giant copy it? Probably.
03
What protects it. R1 sits inside billing workflows at 95 of the top 100 US health systems, and ripping that out mid-contract is costly.

Named risks
  • Core labor-based services (coding, denials, collections) are the primary target of agentic AI automation. Severity: high
  • Private, debt-financed LBO structure post-November 2024 makes financials opaque and value gated by PE sponsor exit timing. Severity: high
  • Waystar and Ensemble shipped credible AI-native alternatives in 2025 to 2026, eroding R1's satisfaction lead per KLAS rankings. Severity: medium
  • Headcount and job posting data show flat-to-declining hiring trends amid AI rollout, signaling margin pressure or automation substitution. Severity: medium
  • Reliance on vendor-claimed adoption metrics (Phare OS, R37) without independent audit post-privatization. Severity: low

Questions people ask
Is R1 RCM still a public company?
No. R1 RCM was taken private on November 19, 2024, when TowerBrook Capital Partners and Clayton, Dubilier and Rice completed an $8.9 billion acquisition at $14.30 per share, ending its run on Nasdaq as RCM.
Could AI replace R1 RCM's services?
R1's core labor, coding, denials, eligibility checks, and collections calls, is exactly what agentic AI targets in revenue cycle management. R1 responded with a March 2025 Palantir AI lab and an October 2025 Phare OS platform, but competitors Waystar and Ensemble shipped rival AI tools in 2025 and 2026.
Who owns R1 RCM now?
R1 RCM is owned by private equity firms TowerBrook Capital Partners and Clayton, Dubilier and Rice, which completed a take-private acquisition on November 19, 2024. Khosla Ventures took a minority stake in May 2025 tied to R1's AI push.
Is R1 RCM losing to Waystar?
In the July 2026 KLAS RCM Suites report, Waystar earned the highest overall grade, citing partnership quality and AI-generated-appeals adoption, while R1 did not top that broader ranking, though R1 still won niche Best in KLAS awards in February 2026.
Is R1 RCM profitable and growing?
R1 no longer files public financials after its November 2024 take-private deal. Pre-privatization it generated roughly 600 million dollars per quarter in mid-2024, and it claims about 2.1 billion dollars in annual revenue and over 1,000 clients, though this figure is unverified post-LBO.
Is R1 RCM laying off workers due to AI?
Headcount data conflicts: Revelio Labs shows a roughly 1.2 percent employee decline in 2025 to 26,699, while Crustdata shows growth to about 22,895 by July 2026. Job postings fell about 11 percent in 2025, suggesting AI may be slowing hiring rather than causing mass layoffs.
