The call

Ryan's recovery and audit-defense work sits behind a regulatory wall the Big Four cannot cross, but its software arm faces real pressure from AI tools and from Vertex, which now owns IP Ryan gave up.

Ryan LLC helps companies recover taxes they overpaid and defend against audits, plus sells tax software (tax.com) to handle classification and filing tasks. The audit-defense work is hard to copy because regulations block the Big Four firms from doing it, and clients need someone who can bear the legal risk if things go wrong. But the software part is easier to replace: Ryan sold its AI technology to a rival called Vertex in mid-2024, which looks like a retreat, not a smart move, and plain AI tools like ChatGPT can now do basic tax classification work that used to be proprietary. The one thing that could matter is whether Vertex's software starts winning customers away from tax.com over the next year, which would prove that Ryan's core technology is no longer special.

Why
01
AI pressure: Vertex Inc. (using Ryan's own divested AI IP) and consumer tools like Telos Tax. Ryan sold its AI tax-mapping IP to Vertex in 2024, and cheap AI classification tools threaten to commoditize the tax.com software layer. Could AI do the core job? Only partly.
02
Bigger players: Big Four firms (Deloitte, PwC, EY, KPMG) and software rivals like Avalara. Big Four are barred from contingency tax recovery by audit-independence rules, but Vertex and Avalara can compete freely on software. Could a giant copy it? No, they are blocked.
03
What protects it. Audit-independence regulations block the Big Four from Ryan's core contingency-fee recovery work, and that liability-bearing advocacy role is hard to automate.
What would change this call
Vertex (NASDAQ: VERX) reports tax.com-related enterprise share gains using Ryan's divested classification IP. would show Ryan's software layer is commoditizing after its June 2024 IP sale.
Neuberger Berman's ~$1.2B stake fails to close on schedule in H1 2026 or regulatory approval is delayed. would signal deal friction or reduced investor confidence in Ryan's valuation.
A Big Four affiliate or Andersen launches a liability-bearing automated tax recovery/audit-defense product for enterprises. would show regulatory and trust barriers protecting Ryan's core practice are eroding.

Questions people ask
Is Ryan LLC profitable in 2026?
Ryan LLC does not disclose audited profit figures as a private company, but its valuation rose to about $7 billion in the January 14, 2026 Neuberger Berman minority investment, up from $2.5 billion in May 2022, signaling strong investor confidence in its growth.
Who owns Ryan LLC?
G. Brint Ryan remains Chairman and CEO and controls operations. Minority stakes are held by Onex Corporation (42%, since October 2018), Ares Management (since May 2022), and Neuberger Berman Capital Solutions and Private Markets, which committed up to $1.2 billion in a deal announced January 14, 2026.
Could AI replace Ryan LLC's tax services?
Ryan uses AI and LLMs internally for transaction analysis and taxability classification, but describes this as augmented intelligence, not automation. Its liability-bearing audit defense and contingency-fee recovery work is shielded by licensure since AI cannot represent clients before a comptroller.
Is Vertex a bigger threat to Ryan LLC than the Big Four?
Vertex acquired Ryan's own AI tax-mapping IP in June 2024 and competes directly on software. The Big Four (Deloitte, PwC, EY, KPMG) are structurally barred by SEC and PCAOB independence rules from contingency-fee tax recovery work with their audit clients.
Is Ryan LLC planning an IPO?
No IPO has been announced as of July 2026. Ryan LLC remains privately held with staged minority investments from Onex (2018), Ares Management (2022), and Neuberger Berman, whose roughly $7 billion valuation deal was expected to close in H1 2026.
How big is Ryan LLC compared to when it started?
Founded in 1991 as Collis & Ryan and renamed Ryan LLC in October 2007, the firm reached a $7 billion valuation by January 14, 2026, with over 7,100 professionals per its own December 2025 statement and 81 offices across 14 countries as of June 2026.
