The call

A shrinking German broadcaster now steered by its majority owner MFE, losing audience ground to RTL while its Joyn streaming arm grows from a small base.

ProSiebenSat.1 operates traditional television networks in Germany, making money from TV ads and content. It is hard for Netflix or Amazon to fully replace because the company owns broadcast licenses and makes local German shows that people want, but its real problem is that RTL (owned by Bertelsmann) is winning the same German TV-ad market and already buying Sky Deutschland to get bigger. The one thing that could change everything is if the Italian owner MFE forces out the remaining shareholders at a low price, which would destroy what little equity value is left.

Why
01
AI pressure: Google Performance Max / AI-driven programmatic ad platforms. Automated ad-buying tools pull budgets from linear TV spots into cheaper, targeted digital inventory, squeezing ad rates. Could AI do the core job? Only partly.
02
Bigger players: RTL Group / RTL Deutschland (Bertelsmann). RTL leads the 14-59 demo by 25.9 points in H1 2025 and is buying Sky Deutschland, widening its content and reach edge. Could a giant copy it? Probably.
03
What protects it. Federal broadcast licenses, local German content library, and Joyn's growing free-to-view streaming reach.

EU decision on RTL's acquisition of Sky Deutschland, expected H1 2026. Approval would deepen RTL's scale and content lead over ProSiebenSat.1.
MFE announces squeeze-out, delisting, or minority buy-out terms for ProSiebenSat.1. Would confirm equity holders face forced exit under majority owner MFE.
Joyn's reported MAU and paid-subscriber revenue in upcoming earnings. Shows whether streaming growth can offset continuing linear TV-ad decline.

Questions people ask
Is ProSiebenSat.1 profitable in 2026?
Yes but declining. Q1 2026 adjusted EBITDA was €44 million, beating a €37 million consensus, though revenue fell 9% year-on-year to €775 million as of May 13, 2026, per company reporting.
Who owns ProSiebenSat.1 now?
Italy's MFE-MEDIAFOREUROPE (Berlusconi family-controlled, Mediaset parent) secured 75.61% of ProSiebenSat.1 shares on September 4, 2025, with settlement September 16, 2025, following a contested takeover battle against Czech investor PPF.
Could ProSiebenSat.1 be delisted or squeezed out?
Analysts flag squeeze-out risk given MFE's domination agreement dated July 23, 2025 and amended March 2026, combined with its 75.61% stake, though no confirmed squeeze-out has been announced as of July 2026.
Is ProSiebenSat.1 losing to RTL?
Yes on audience share. RTL held a 25.9% audience-share lead over ProSiebenSat.1 in the core 14-59 demo in H1 2025 and is acquiring Sky Deutschland, pending EU approval expected H1 2026.
Could AI replace ProSiebenSat.1's business?

Yes. Joyn hit a record 12.5 million monthly viewers in April 2026, up 25.4% year-on-year, according to the company's own May 8, 2026 announcement.
