The call

Smartsheet still grows and holds enterprise ground, but carries heavy PE debt while Microsoft and AI agents press in from two sides.

Smartsheet helps large companies organize and track projects and tasks through structured spreadsheets and workflows. The company has built real staying power because it is embedded deep in many Fortune 500 companies' daily work, but that advantage is under attack from two sides: Microsoft is building competing features directly into Excel and its other familiar tools, and new AI systems like ChatGPT and Claude can now handle the same coordination work by talking directly to data without needing Smartsheet's interface at all. The one thing that could shift this picture is whether Smartsheet's customers actually expand their use of the product and stick with it even as AI tools proliferate, or whether they gradually peel off to simpler or cheaper alternatives.

Why
01
AI pressure: AI agents (Copilot, ChatGPT, Claude, Gemini) querying and acting on structured work data directly. If AI agents can read and act on work data directly, they skip Smartsheet's screen and erode its manual-workflow value. Could AI do the core job? Only partly.
02
Bigger players: Microsoft (Excel, Project, Planner, Loop, Copilot, SharePoint). Microsoft already bundles Planner, Loop, and Copilot into Microsoft 365, competing for the same enterprise workflow seats. Could a giant copy it? Yes, easily.
03
What protects it. Deep, hard-to-rip-out workflows embedded across a claimed 85% of Fortune 500 companies raise the cost of switching.
What would change this call
Smartsheet reports NRR and >=$5K ARR customer count in FY2026 Q2-Q3 earnings. Falling retention or customer count would show Microsoft/AI tools are pulling workflow share away.
Microsoft ships unified Copilot+Planner+Loop experience in Microsoft 365 by mid-2027. Would confirm the incumbent is converging its bundle to directly replace Smartsheet's use case.
Smartsheet's Smart Hub AI control center ships in 2026 as planned versus slipping. A slip would suggest Smartsheet is losing the AI-disintermediation race it named as its main defense.

Questions people ask
Is Smartsheet still publicly traded?
No. Smartsheet was taken private by Blackstone and Vista Equity Partners for approximately $8.4 billion, with the deal completing January 22, 2025. It no longer trades on NYSE under ticker SMAR and now reports no audited public financials.
Is Smartsheet profitable?
No audited post-buyout figures are public. Last public fiscal year (FY2025, ended Jan 31, 2025) showed total revenue of $958.8 million and ARR of $1.13 billion, but profitability was not confirmed; the company also carries $3.2 billion in post-IPO debt from the buyout.
Could AI replace Smartsheet?
Partially exposed. Smartsheet's core value, manual sheet building, formulas, and report generation, is directly automatable by AI, as shown by its own Smart Assist and Smart Columns tools (2026). It is countering by building an MCP-based AI hub launched March 2026 rather than competing head-on with chat interfaces.
Who owns Smartsheet now?
Blackstone and Vista Equity Partners own Smartsheet, with minority investor Platinum Falcon B 2018 RSC Limited, a subsidiary of the Abu Dhabi Investment Authority. The take-private acquisition closed January 22, 2025 for approximately $8.4 billion.
Who is Smartsheet's biggest competitor?
Microsoft is the most structurally dangerous rival, since it already sells Planner, Loop, Project, SharePoint and Copilot into the same enterprise accounts Smartsheet serves, without being blocked from converging these into a Smartsheet-like offering.
Did Smartsheet lay off employees?
Yes. GeekWire reported layoffs affecting engineers, marketing managers and project managers in early February 2026, coinciding with the CTO's departure reported February 13, 2026, under Smartsheet's new PE ownership.
